  • Q2 revenue increased 290% year over year; first-half revenue increased 331%. Management attributed growth mainly to higher MLPE sales and market acceptance, with increased marketing also contributing. EMEA was the largest growth driver: Q2 revenue there was $55.1 million, versus $11.4 million a year earlier.
  • Gross margin improved by 7 percentage points in both comparison periods, which management attributed to higher MLPE margins from cost reductions and lower freight costs. Operating expenses rose, including higher personnel, marketing, public-company and transaction-related costs.
  • GAAP net losses chiefly reflect non-cash fair-value charges: Q2 included a $38.3 million increase in the convertible-note derivative liability and $2.6 million for warrant and contingent-share liabilities. The six-month derivative charge was also $38.3 million. Q2 included a $10.9 million income-tax benefit from releasing valuation allowance against deferred tax assets.
  • Operating cash flow was negative $4.9 million in the first half, compared with negative $6.4 million in 2022. Investing cash flow was negative $52.1 million, primarily reflecting purchases of marketable securities; financing cash flow was positive $31.1 million.
  • At June 30, cash and cash equivalents were $11.7 million and marketable securities totaled $50.2 million, for combined cash and securities of approximately $62.0 million. Current assets were $155.9 million versus current liabilities of $66.5 million. Accounts receivable was $45.8 million and inventory was $50.6 million.
  • The company received $50.0 million from a convertible promissory note in January. The note bears 5% interest, matures January 2026, and is convertible at the holder’s option. Its carrying value, net of discount and issuance costs, was $27.1 million; the separately recognized conversion derivative liability was $61.8 million. The note’s reported fair value was $58.1 million.

Changes, outlook and key risks

  • Results are not fully comparable across periods: fSight was acquired in January and the business combination closed in May. Management said it became profitable in Q1 and continued that trend in Q2 based on operations; GAAP net results were nevertheless losses after the fair-value and other charges described above.
  • No specific revenue or earnings guidance was provided. Management said available cash, cash equivalents and marketable securities, a growing customer base and expense management were expected to support operations through August 2024. It cautioned that additional financing may be needed and is not assured on acceptable terms.
  • Management cited plans to expand U.S. residential sales, develop the Energy Intelligence offering and pursue new markets. Energy Intelligence revenue was approximately $10.6 million in the first half of 2023, versus $0.5 million in the first half of 2022.
  • Risks include reliance on contract manufacturers and suppliers, including sole-source providers, and supply-chain exposure in Thailand and China; management said supply challenges might persist through 2023. Inflation, freight and component costs, solar-market cyclicality, customer collections, competition, and international currency or regulatory conditions could also affect performance.
  • Disclosure controls were not effective at June 30, 2023, due to an unremediated material weakness concerning accounting for complex financial instruments, including the convertible-note conversion feature. Management reported remediation efforts were ongoing; other previously identified weaknesses involving accrued expenses and cash-flow statement review were considered remediated.
  • Warranty liability was $5.5 million at quarter-end; product warranties range from 5 to 25 years. The filing describes ordinary-course legal matters but provides no clear quantified exposure. On August 9, 2023, the company announced redemption of its outstanding public and private warrants for $0.01 each if still outstanding after September 8.

Important facts for investors to verify

  • Whether revenue growth and improved gross margin continue, especially given EMEA’s substantial contribution to sales.
  • Cash conversion and working-capital trends: receivables, inventory, and operating cash flow alongside reported operating income.
  • The convertible note’s conversion terms, fair-value accounting and potential dilution; also track the derivative liability’s remeasurement.
  • Whether the company can sustain its stated liquidity runway and avoid financing on unfavorable terms.
  • Progress and testing of controls remediation, and any updates to fSight purchase accounting or contingent-share liabilities.
  • Execution of the warrant redemption and the resulting effect on potential dilution and cash proceeds.
