FY2021 GAAP net income and EPS included a $390 charge from a UK tax-rate change. Excluding that one-time tax adjustment, FY2022 net income grew 8.5% and diluted EPS 9.0% versus FY2021. Net non-operating income rose to $869 from $181, primarily because of higher interest income on cash.

Fourth quarter: Revenue was $13,575 versus $12,914 in Q4 2021; net income was $4,555 versus $4,131; diluted EPS was $1.25 versus $1.13.

Cash, liquidity, and debt: Year-end cash was $75,052, up from $60,974. Working capital was $83,959, up 21%; total assets were $123,874 and stockholders’ equity was $114,254. UTMD had no long-term debt; total liabilities were $9,620 and the liabilities-to-assets ratio was 8%. Capital expenditures were $809. The company paid $3,163 in dividends and repurchased $2,495 of shares during 2022.

Material changes and operating drivers

  • Sales growth was broad but uneven. U.S. sales including OEM rose 4.3%; OUS sales rose 10.4% in reported dollars and 18.2% at constant currency. Currency movements reduced reported 2022 sales by approximately $1,433.
  • OEM sales increased 13.8% to $10,884. The largest OEM customer represented about 22% of consolidated revenue, making customer demand an important concentration risk.
  • Blood-pressure monitoring and accessories revenue grew to $18,212 from $15,715; neonatal revenue rose to $7,567 from $6,691. Gynecology/electrosurgery/urology revenue was $21,841 versus $21,973, and obstetrics revenue was $4,661 versus $4,675.
  • Gross margin contracted as manufacturing costs rose faster than selling prices. Management cited higher labor, raw-material, overhead, health-plan and freight costs. Average unit prices rose approximately 7%.
  • Operating expenses included $670 of litigation expense, compared with $22 in 2021. Total intangible-asset amortization was $6,386, largely related to the Femcare acquisition and Filshie Clip U.S. distribution rights.
  • Inventory rose 34% to $8,814 as UTMD built safety stock amid supply-chain uncertainty. Foreign-currency translation reduced comprehensive income and contributed to a $2,986 translation loss in 2022.

Outlook, risks, and contingencies

Management projected 2023 revenue of $50–$52 million, compared with $52.3 million in 2022, citing uncertain OEM demand, possible U.S. dollar strength, and Filshie Clip sales trends. It expected end-user demand to remain stable, aimed to maintain gross and operating margins excluding unusual litigation costs, and projected net income and EPS approximately in line with 2022. These are management estimates, not guaranteed results.

UTMD disclosed 14 Filshie Clip migration lawsuits initiated by one U.S. law firm across 12 states as of January 2023. The company is self-insured for product liability, reported $670 of 2022 product-liability litigation expense, and had a $204 reserve for litigation costs at year-end. Management believes the claims lack merit and does not expect their outcome to materially affect consolidated results, but acknowledges defense costs will be unusually high. The ultimate outcome and costs remain uncertain.

Other significant risks include reliance on a major OEM customer, foreign-exchange exposure (about 25% of sales invoiced in foreign currencies), medical-device regulation, hospital purchasing and distribution constraints, supply-chain disruption and tariffs, competition, and retention of skilled employees. Management reported effective disclosure controls and internal control over financial reporting; the filing states there were no material weaknesses.

Important facts for investors to verify

  • Updates to the number, status, expected defense costs, and potential exposure of the Filshie Clip lawsuits, including any changes to the litigation reserve.
  • Actual 2023 sales from the largest OEM customer and whether demand matched management’s expectations.
  • Revenue, gross margin, and Filshie Clip trends after price increases, cost inflation, and currency changes.
  • Cash deployment, including dividends, repurchases, acquisitions, and capital spending, and the effect on per-share results.
  • Reconciliation of reported GAAP earnings with management’s non-GAAP comparisons, particularly the 2021 UK deferred-tax adjustment.
