Management also reports non-GAAP net income of $11.023 million and diluted EPS of $3.002 for 2020, excluding a $225,000 unfavorable UK deferred-tax adjustment; comparable 2019 figures exclude a favorable tax adjustment. These are supplemental measures, not GAAP results. The filing’s discussion and tax-note figures do not present a fully clear bridge for the 2019 adjustment.

Fourth-quarter sales were $12.010 million, up 1.5% from $11.831 million a year earlier; fourth-quarter GAAP net income was $3.412 million versus $4.359 million. Sales outside the U.S. fell 16.0% for the year to $16.312 million; U.S. domestic sales fell 5.9% to $25.866 million. COVID-related restrictions on procedures, particularly outside the U.S., were the principal stated cause of the annual sales decline.

Liquidity, capital and returns

  • Year-end cash was $51.590 million, up $8.803 million; working capital was $58.471 million, up from $51.438 million. Current assets were $62.262 million and current liabilities $3.791 million.
  • No long-term debt; total liabilities were $8.923 million. Operating cash flow was $20.137 million, capital expenditures $0.860 million, and cash dividends paid $4.116 million.
  • The company repurchased 87,000 shares for $6.976 million and paid annual dividends of $1.12 per share. Year-end shares outstanding were 3.643 million.
  • Goodwill and other intangible assets totaled about $38.157 million net. Amortization of acquired intangible assets was $6.515 million in 2020, materially weighing on operating income; management did not expect goodwill impairment in 2021.

Changes, outlook and key risks

Revenue and profitability were sharply affected by the pandemic downturn in the second quarter, followed by sequential recovery; management described the fourth quarter as the year’s strongest revenue quarter. Lower sales reduced fixed-cost absorption, while pandemic-related expenses and an unusually unfavorable U.S. employee health-plan year pressured gross margin. Management retained manufacturing capacity rather than reducing overhead in line with the temporary sales decline.

Management estimated 2021 revenue of $45–$46 million, while noting substantial uncertainty around procedure volumes and changing pandemic policies. It expected higher revenue than in 2020, improved gross margin and profit leverage from better fixed-cost absorption. Management cited potentially higher foreign-exchange rates and at least 10% growth in U.S. OEM sales as favorable factors; it also noted a January 2021 dip in U.S. Filshie sales. As an illustration, management estimated that an 8% sales increase could produce an 18% increase in EBT versus 2020; this is not a guarantee.

  • Key risks include pandemic-related procedure restrictions, regulatory burdens or approval delays, hospital purchasing and GPO arrangements that may limit clinician access, foreign-exchange movements, trade or supply-chain disruption, distributor dependence, and competition.
  • Filshie Clip products represented 31% of total U.S.-dollar-denominated sales. The largest U.S. OEM customer represented 75% of domestic OEM sales, a concentration investors may wish to monitor.
  • UTMD is self-insured for product-liability risk. The filing reports no current material litigation or threatened litigation; it also describes potential exposure to costly claims despite a history without product-liability judgments.
  • Purchase and operating-lease obligations totaled approximately $3.291 million at year-end. Management reported no off-balance-sheet arrangements.
  • Management assessed internal control over financial reporting as effective, and disclosure controls as effective. The financial-statement audit opinion was unqualified; the lead auditor relied on another auditor for specified Femcare financial-statement portions.

Important facts for investors to verify

  • Whether procedure volumes and international demand recover sufficiently to support the $45–$46 million 2021 revenue estimate.
  • Filshie Clip and major OEM customer concentration, including the largest OEM customer’s order outlook and retention.
  • Gross-margin recovery, pandemic-related costs and the effect of fixed intangible amortization on reported earnings.
  • The reconciliation of management’s non-GAAP tax-adjusted earnings to GAAP results, especially the 2019 tax adjustment disclosure.
  • Foreign-exchange exposure, product-liability reserves and any developments in regulatory, supply-chain or litigation matters.
