  • Costs: R&D expense was $215.6 million (−10%); SG&A was $85.9 million (+16%), reflecting KALYDECO commercial support and preparation for a potential ORKAMBI launch. Restructuring was a $3.3 million credit, compared with $6.2 million of expense.
  • Cash flow: Operating cash outflow was $207.2 million, versus $175.8 million. Investing activities provided $214.0 million, largely from marketable-security maturities and sales. Financing activities provided $35.4 million. Cash and cash equivalents increased to $664.9 million.
  • Liquidity: Cash, cash equivalents and marketable securities totaled $1.181 billion at March 31, down from $1.387 billion at year-end 2014. Current assets were $1.358 billion and current liabilities $302.4 million.

Principal repayments were scheduled to total $15 million in the second half of 2015, $105 million in 2016 and $180 million in 2017; the loan matures July 2017. The Fan Pier lease obligation was about $473.0 million, with lease payments extending through 2028. No loan default was reported.

Changes and notable items

  • KALYDECO growth reflected additional treated patients, expanded eligibility and reimbursement progress. The FDA expanded its label in March 2015 to include certain children aged two to five.
  • Lower R&D expense mainly reflected fewer outsourced trial costs after completion of the TRAFFIC and TRANSPORT trials and lower infrastructure costs. Management expected outsourced development costs to increase as new trials proceed.
  • Interest expense rose to $21.3 million from $15.7 million, primarily due to the July 2014 term loan. Other expense was $5.1 million, mainly from unrealized foreign-exchange losses.
  • Vertex capitalized $14.1 million of ORKAMBI inventory ahead of a potential launch; adverse developments could require an inventory impairment. The filing also reports $21.9 million of letters of credit cash-collateralized in April 2015, classified as restricted cash at quarter-end.

Outlook, risks and contingencies

  • The FDA had granted ORKAMBI priority review, with a July 5, 2015 review target and an advisory committee meeting scheduled for May 12. Assuming timely approval, Vertex expected U.S. revenue recognition to begin in mid-2015. The company did not expect significant ex-U.S. ORKAMBI revenue in 2015 because reimbursement discussions would take time.
  • Management expected KALYDECO revenue to increase further and anticipated continued quarterly losses until revenue increased substantially. It stated that existing liquidity and KALYDECO cash flows were expected to fund operations for at least the next 12 months; actual funding needs depend on revenues, development spending and other factors.
  • Vertex began a Phase 3 program for VX-661 with ivacaftor and expected to begin clinical development of a next-generation corrector in 2015. Drug development, regulatory approval, trial outcomes and payer reimbursement remain uncertain.
  • A shareholder securities class action was pending, with a motion to dismiss under advisement. Vertex considered the claims without merit and had recorded no reserve. No material contingent liabilities were accrued.
  • The term loan includes a minimum KALYDECO revenue requirement and restrictive covenants that may limit financing or other transactions. Management reported no material changes to the risk factors in its 2014 Form 10-K.
