AGCO CORP annual report, FY2023

AGCO Corporation — 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report; the filing text does not provide a clear set of Q4-only financial results. AGCO designs, manufactures and distributes agricultural machinery and precision-agriculture technology through a global dealer network. Amounts below are in U.S. dollars unless noted.

Year-end borrowings were approximately $1.39 billion, including current and long-term debt; AGCO had no borrowings under its $1.25 billion revolving credit facility and reported $1.155 billion available to borrow. The filing says existing facilities, cash and internally generated funds are expected to support foreseeable working-capital, capital-expenditure and debt-service needs, assuming customary renewals and replacements.

Cash from operations less capital expenditures was approximately $585 million, calculated from the reported figures. Cash dividends declared and paid were $6.10 per share, including a $5.00 special dividend. AGCO repurchased $53 million of stock through an accelerated share repurchase agreement.

Material changes versus 2022

  • Sales rose 13.9%, primarily from price increases, favorable product mix and currency effects. Estimated worldwide average price increases were approximately 10% in 2023.
  • Tractor and combine unit sales declined approximately 11.7%, while their consolidated net sales increased approximately 1.7%; the difference reflected pricing, currency and mix. Global production hours rose approximately 3.6%.
  • Gross and operating margins improved, mainly from pricing and product mix. SG&A and engineering expenses increased, including higher compensation, transaction costs and investment in product and technology development.
  • Other expense increased to $362.3 million from $145.2 million, including approximately $202.1 million of foreign-exchange losses and $148.4 million of losses on receivable sales. The filing cites Argentine peso and Turkish lira devaluations and higher interest rates and receivable-sale volumes.
  • The 2023 tax provision included a $112.3 million benefit associated with Swiss tax reform and an approximately $26.4 million charge for Brazil’s tax amnesty program. The 2022 results included $36.0 million of impairment charges related to the Russian distribution joint venture; that interest was sold in 2022.
  • Operating cash flow increased, while capital expenditure rose by $129.8 million, primarily for capacity and precision-agriculture initiatives. Receivables and inventories together were approximately $635 million higher at year-end.

Outlook, management commentary and risks

  • Management expects global farm-equipment demand to be modestly lower in 2024 in most major markets. AGCO expects net sales to moderately decrease, with lower volumes partly offset by modest positive pricing; gross and operating margins are also expected to moderately decrease. No specific revenue or earnings guidance figures are provided.
  • On September 28, 2023, AGCO agreed to acquire an 85% interest in a Trimble agricultural-technology joint venture for $2.0 billion in cash, while contributing JCA Technologies. Closing was expected in the first half of 2024, subject to customary conditions, including regulatory approvals. Financing was expected from liquidity, operating cash flow and new debt. A $2.0 billion bridge commitment was in place; no bridge borrowings were outstanding at year-end.
  • Management is evaluating strategic alternatives for its grain and protein systems business, including a sale, partnership or continued ownership. Three related goodwill reporting units had limited valuation headroom in the 2023 impairment assessment; no goodwill impairment was recorded.
  • Key risks include agricultural-market cyclicality, lower farm income and commodity prices, customer financing availability, foreign exchange and interest-rate volatility, inflation and input costs, supply-chain disruption, tariffs and geopolitical conflict, competition, product quality and warranty costs, and climate, emissions and other regulatory requirements.
  • The December 2023 Argentine peso devaluation contributed to a reported approximately $79.9 million remeasurement impact. AGCO also faces restrictions on moving funds out of Argentina and further currency risk.
  • AGCO disclosed a 2022 ransomware attack that temporarily closed most production sites and parts operations; some data was exfiltrated and later publicly released. The company said remediation costs were not material and continues to invest in cybersecurity.
  • Deere’s appeal in patent litigation concerning Precision Planting was pending; a jury found for AGCO in 2022, and the previous owner has certain indemnification obligations. Other routine claims were not considered material by management.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Management and the auditor concluded internal control was effective as of December 31, 2023.

Important facts for investors to verify

  • Whether the Trimble joint venture closed on schedule, its final financing terms and purchase-price adjustments, and the resulting debt, integration costs and goodwill.
  • Whether 2024 sales, volumes and margins tracked management’s expected moderate declines, particularly as farm income and commodity prices changed.
  • Cash conversion and working-capital trends, including inventory levels and the growing use and cost of receivable-sale arrangements.
  • Developments in Argentine and Turkish foreign-exchange exposure, restrictions on fund transfers, and the effects of further currency movements.
  • The grain and protein systems strategic review and the valuation headroom of its goodwill reporting units.
  • Changes in sales incentives and warranty reserves, which were substantial at year-end, and resolution of uncertain tax positions and the pending Deere appeal.
