FY2023 revenue and earnings benefited from a $262 million pre-tax gain on the Sound Point and AHP transactions, a $189 million Bermuda tax-law-related deferred tax benefit, higher investment income, favorable foreign-exchange remeasurement and fair-value gains on credit derivatives and trading securities. These items were partly offset by lower earned premiums and higher loss expense. The effective tax rate was negative 13.9%, reflecting tax benefits exceeding tax expense.
Cash and cash equivalents on the consolidated balance sheet were $97 million at year-end. Consolidated cash and restricted cash, including cash held in financial guaranty VIEs and investment vehicles, was $286 million. Cash flows from operations were $461 million including VIE/CIV activity, but were an outflow of $108 million excluding that activity. The filing notes that VIE/CIV cash is generally not available for corporate liquidity needs.
AGL reported $249.2 billion of net par outstanding in its financial guaranty portfolio, up from $233.3 billion a year earlier; $5.4 billion was rated below investment grade (BIG), down from $5.9 billion. Net expected loss to be paid (recovered) was $505 million, versus $522 million. FY2023 economic loss development was a $164 million loss, primarily from U.S. public finance exposures, including PREPA and healthcare, partly offset by RMBS recoveries.
Material changes versus FY2022
- Asset management restructuring: On July 1, 2023, the Company contributed most of AssuredIM to Sound Point for an approximately 30% ownership interest and other consideration. Sound Point managed $35.2 billion of CLO assets at year-end. Assured Guaranty also sold its equity interests in AHP.
- Balance-sheet consolidation changed: Following the transactions, the Company deconsolidated most investment vehicles, reducing reported CIV assets by $4.7 billion and liabilities by $4.4 billion. This materially affects year-over-year balance-sheet and cash-flow comparability.
- Premium earnings declined: FY2022 included $133 million of premium accelerations associated with Puerto Rico resolutions; FY2023 had substantially less related acceleration.
- New business production increased by present value: Gross written premiums were $357 million versus $360 million; present value of new business production (non-GAAP) increased to $404 million from $375 million. Gross par written increased to $29.0 billion from $22.0 billion.
- Capital returned and debt refinanced: The Company repurchased 3.2 million shares for approximately $199 million and paid $68 million in dividends. It issued $350 million of 6.125% notes due 2028 and redeemed $330 million of 5% notes due 2024.
Outlook, management commentary and key risks
- Management stated that AGL expects to have sufficient liquidity for the next 12 months and targets liquid assets at 1.5 times stressed operating-company cash-flow needs. This is not earnings guidance; the filing provides no formal numerical forecast for future revenue or profit.
- Management views higher rates and wider municipal credit spreads as potentially supportive of investment income and insurance demand, while noting that higher rates can reduce fixed-income fair values, dampen issuance and pressure some insured obligors. U.S. credit spreads widened modestly in 2023; U.S. municipal bond insurance penetration by par was 8.8%, versus 8.0% in 2022.
- Puerto Rico / PREPA: Net insured Puerto Rico exposure was $1.105 billion at year-end, all BIG, including $624 million of defaulted PREPA net par. Litigation and restructuring remain unresolved. The Company appealed rulings limiting bondholder liens and estimating an unsecured claim; the outcome and recoveries remain uncertain. The filing described a PREPA plan proposing a 12.5% recovery for non-settling bondholders and noted the Company opposed it.
- Sound Point and alternative investments: AGL’s approximately 30% interest is a minority investment, and the Company cannot control Sound Point’s operations or distributions. The investment strategy entails less-liquid assets, valuation uncertainty and reinvestment commitments. Total alternative-investment commitments were $1.5 billion, including $779 million of unfunded commitments.
- Other exposures and uncertainty: Results depend on subjective estimates of long-duration insurance losses and recoveries, fair values, credit performance and litigation. Interest-rate, credit-spread, foreign-exchange, regulatory, tax, geopolitical, cybersecurity and climate risks could affect results, capital or liquidity. Bermuda’s new 15% corporate tax applies to relevant Bermuda entities beginning in 2025; the 2023 tax benefit is nonrecurring in nature.
- The auditor issued unqualified opinions on the financial statements and internal control over financial reporting. Critical audit matters included valuation of insurance loss reserves and recoverables, and valuation of the Sound Point consideration.
Most important facts for investors to verify
- Track PREPA appeals, the restructuring plan, and whether actual recoveries differ materially from current estimates.
- Assess how much of FY2023 GAAP and adjusted earnings depended on the $262 million transaction gain and $189 million Bermuda tax benefit, and whether recurring earnings support valuation expectations.
- Review the performance, carrying value and distributions of Sound Point, along with the Company’s investment commitments, reinvestment terms and liquidity exposure.
- Monitor BIG exposures, economic loss development, claims paid and recoveries—especially U.S. public finance and healthcare risks.
- Confirm the availability of dividends from regulated insurance subsidiaries and holding-company liquidity, including debt service and planned share repurchases.
- Evaluate the effects of interest rates, investment unrealized losses, alternative-asset valuations and any subsequent changes in insurer ratings or regulatory capital requirements.
