AIM Immunotech Inc. quarterly report, Q1 FY2021

AIM ImmunoTech Inc. — Q1 2021 Form 10-Q

Reporting period: Three months ended March 31, 2021. Amounts are in U.S. dollars; financial statement amounts are in thousands unless stated otherwise.

Business context

AIM is a clinical-stage immunopharmaceutical company developing Ampligen (rintatolimod) for cancer, viral diseases and ME/CFS, and Alferon N Injection. Ampligen was not FDA-approved or marketed in the United States. Its only stated commercial approval for Ampligen was in Argentina for severe CFS, where final product release and launch steps remained outstanding. Alferon was FDA-approved for genital warts, but commercial sales were suspended pending manufacturing and FDA release requirements.

Financial performance and liquidity

MetricQ1 2021Q1 2020 / comparison
Revenue$28,000$45,000; down $17,000
Operating loss$3.745 million$3.325 million
Net loss$3.579 million$3.808 million; loss narrowed $229,000, or 6%
Basic and diluted loss per share$0.08$0.22

General and administrative$2.112 million$2.268 million; down 7%
Production costs$237,000$204,000

The filing does not present a gross margin measure; revenue was very small relative to costs and expenses. The lower net loss reflected reduced interest and finance costs and a $181,000 gain from the sale of income-tax operating losses, partly offset by higher R&D and production costs and lower revenue. The $37,000 redeemable-warrant revaluation charge was non-cash. Interest income was $72,000, compared with $21,000 a year earlier.

At March 31, cash and cash equivalents were $48.773 million and marketable securities were $14.828 million, or $63.601 million combined, versus $54.378 million at December 31, 2020. Current assets were $51.219 million and current liabilities $970,000. Total assets were $74.089 million and stockholders’ equity $70.967 million.

Operating activities used $3.045 million of cash, compared with $3.250 million in Q1 2020. Investing activities provided $523,000, principally reflecting marketable-security sales exceeding purchases; the comparative period provided $3.683 million. Financing activities provided $12.794 million, including $12.887 million in net common-stock proceeds, compared with $25.687 million in Q1 2020. Cash increased $10.272 million during the quarter.

The company reported a $2.050 million sale-leaseback financing obligation, including a $234,000 current portion and $1.816 million long-term portion. The previously issued secured notes were paid off in 2020; the filing reports no current outstanding balance on those notes. Common shares outstanding rose from 42.154 million at year-end to 47.833 million at March 31. Weighted-average shares were 45.727 million, versus 17.490 million in Q1 2020, which is relevant to interpreting the year-over-year per-share loss comparison.

Material changes and developments

  • The 6% reduction in net loss occurred despite a $526,000 increase in R&D, primarily from higher clinical expenses. Lower G&A and a $272,000 reduction in interest and other finance costs helped offset those increases.
  • AIM sold 5.666 million shares under its equity distribution agreement during the quarter for approximately $13.302 million gross proceeds, including the agent’s fee; the agreement was terminated in early February 2021. The share issuances provided substantial funding but diluted existing holders.
  • Management said it believed available funds could cover anticipated operating needs and current clinical trials for approximately 24 months, while noting that additional funding could be needed for new or expanded studies or if trials require further work.
  • After quarter-end, the board approved the repurchase of the New Brunswick facility; the repurchase closed May 13, 2021 for $4.661 million. The company also approved a proposal to outsource production of Ampligen polymer precursors, with service and quality agreements still to be finalized.

Outlook, risks and contingencies

AIM said it did not expect material operating revenue in the near future. Its plans include pursuing Ampligen development and regulatory approvals, seeking commercial and co-development partners, and advancing clinical programs. The company cited six oncology Ampligen trials underway, with additional studies planned or in development; planned trials remain subject to funding, regulatory, enrollment, site and drug-supply uncertainties. A pancreatic-cancer early-access program reported a survival benefit versus matched historical controls, but further trials are needed and no outcome is assured.

Ampligen’s Argentina launch remained dependent on ANMAT final inspection and release testing, delayed in part by the pandemic and agency processes. For U.S. approval of Ampligen for CFS, the FDA had previously issued a Complete Response Letter requiring additional clinical and nonclinical work and analyses. Alferon manufacturing remained on hold, with no definitive restart timetable; resuming sales would require manufacturing validation, FDA inspection and product release approvals.

The company described COVID-19-related uncertainty around operations, clinical trials, supply chains and regulatory processes, and said it could not estimate the pandemic’s financial impact. It cautioned that Ampligen’s potential against COVID-19 is investigational and requires clinical testing. The intranasal Phase 1 study update in the filing was subsequent to quarter-end: dosing of Cohort 2 was completed in April with no serious adverse events reported, before planned dose escalation.

Other risks include the need for future capital, potential dilution or senior securities, uncertain efficacy and regulatory approval, dependence on partners and contract manufacturers, and the ability to commercialize products. The filing reported no new legal proceedings during the quarter and no off-balance-sheet arrangements. Management reported disclosure controls were effective as of March 31, 2021.

Investor verification points

  • Confirm current cash runway against operating burn, planned clinical spending, and the $4.661 million facility repurchase completed after quarter-end.
  • Track share count, equity financing capacity and potential dilution following the 5.666 million Q1 shares issued.
  • Verify the status, required studies and regulatory pathway for Ampligen, including the FDA CFS application and Argentina’s final release and commercial launch steps.
  • Monitor trial progress, enrollment, funding and results for oncology, pancreatic-cancer and COVID-19 programs; distinguish preliminary or historical-control findings from controlled trial evidence.
  • Confirm whether the Alferon manufacturing process can be restarted and obtain the required FDA inspection and product-release approvals.
  • Review the final terms and implementation of the proposed polymer-manufacturing arrangement and assess supply sufficiency for clinical and commercial needs.
