FY 2016 revenue by segment was $1,185.1 million for nurse and allied solutions, $424.2 million for locum tenens solutions, and $292.9 million for other workforce solutions. Year-over-year growth was 24%, 10%, and 135%, respectively; acquisitions contributed materially, particularly to other workforce solutions.
Material changes versus the prior comparable period
- Three 2016 acquisitions—B.E. Smith, HealthSource Global Staffing and Peak Provider Solutions—contributed a combined $170.9 million of FY revenue. Acquisitions also increased goodwill and intangible assets.
- Demand for healthcare professionals was strong. Higher bill rates supported revenue growth, while increased nurse compensation to attract clinicians pressured nurse and allied gross margin, which edged down to 26.9% from 27.1%.
- Consolidated gross margin improved, supported by the growth of higher-margin workforce solutions and improved locum tenens bill-to-pay spreads. Other workforce solutions margin declined to 57.8% from 75.9%, primarily reflecting changes in business mix after acquisitions.
- Interest expense rose to $15.5 million from $7.8 million, mainly due to higher average debt following acquisitions and the October 2016 notes issuance. The effective tax rate was 39.9%, compared with 32.4%; 2015 included a discrete tax benefit from an IRS audit settlement.
- AMN repurchased 443,353 shares for $13.3 million in the fourth quarter under a new $150 million authorization; $136.7 million remained available at year-end.
Outlook, commentary, risks and unusual items
- Management reported a strong healthcare staffing market and said demand had risen through much of 2016. MSP revenue was growing faster than traditional staffing revenue; MSP represented about 51% of nurse and allied segment revenue in 2016, versus 43% in 2015. No specific financial guidance was provided.
- Management expects operating cash flow and available revolver capacity to fund operations and expected capital expenditures for the next 12 months and beyond. Approximately $15 million of technology investment was planned for the next year; modernization work was expected to continue through 2018.
- At year-end, no revolver borrowings were outstanding and approximately $264.2 million of availability remained. The $275 million revolver and term loans are secured and subject to covenants; the 2024 notes carry a fixed 5.125% coupon. AMN reported compliance with credit-agreement financial tests at December 31, 2016.
- Principal risks include economic sensitivity and pricing pressure; customer concentration (one health system represented approximately 11% of consolidated revenue); clinician recruitment and retention; regulatory and employment-classification exposure; malpractice, wage-and-hour and insurance-reserve claims; cybersecurity and technology implementation risks; acquisition integration; and uncertainty around changes to the Affordable Care Act.
- The filing identifies wage-and-hour class actions as its most significant established legal contingencies, but management said probable losses and accrued amounts were not material. Actual outcomes could differ from estimates. No goodwill or indefinite-lived intangible impairment charges were recorded in 2014–2016.
- Auditors issued unqualified opinions on the financial statements and internal control over financial reporting. B.E. Smith was excluded from the 2016 internal-control assessment; its included FY revenue was $108.5 million.
