- Revenue drivers: Growth reflected base and new business, pricing pass-throughs and recovery in activity; Union Supply contributed $72.3 million. Foreign currency translation reduced reported revenue growth by 3.3% overall.
- Segment revenue / operating income: FSS United States $2,921.0 / $163.2; FSS International $992.7 / $26.8; Uniform $687.3 / $46.5. Versus the prior year, segment revenue rose 20.4%, 13.7% and 5.8%, respectively. Operating income rose in both FSS segments and fell 21.0% in Uniform.
- Cash flow and liquidity: Operating cash use increased year over year, largely from working-capital outflows, including payments of accrued expenses and accounts payable. Cash and equivalents were $305.1 at quarter-end; revolving-credit availability was approximately $791.9.
- Debt: Borrowings, net, totaled $8,159.0, up from $7,410.9 at September 30, 2022. Interest and other financing costs increased 9.0% to $101.3, primarily due to higher rates and increased Receivables Facility borrowings. Approximately $2.0 billion of interest-rate swaps fixed rates on a like amount of variable-rate borrowings through December 2028.
- Margins and costs: Cost of services was 90.5% of revenue versus 90.4%. Product and labor inflation remained a headwind. The effective tax rate was 25.1%, compared with 9.6% in the prior-year quarter, which included an $8.5 million tax benefit from reversal of a foreign deferred-tax valuation allowance.
Material changes, unusual items and management commentary
- Operating income benefited from a $29.9 million noncash gain from reducing the Next Level contingent-consideration liability, approximately $11.0 million of higher income from favorable insurance loss experience, and a $10.8 million greater gain from recovery of a National Park Service site investment versus the prior-year quarter.
- These items and underlying business growth more than offset inflation and $23.4 million of noncash impairment charges related to certain real estate locations. The charge affected FSS United States and Uniform.
- FSS International growth was partly offset by unfavorable currency translation of 13.9% for that segment. Its operating income also faced inflation, the absence of $12.2 million in prior-year labor-related tax credits and impairment charges.
- Uniform operating income declined due to impairment charges, $3.5 million of spin-off-related personnel and other expenses, and inflation, partly offset by revenue growth and pricing.
- Management expects inflationary pressures and labor challenges to continue through fiscal 2023 and says it is responding with cost management, supply-chain initiatives and pricing pass-throughs. Sector commentary cited improving activity in Business & Industry and sports/leisure, growth across healthcare and facilities, and mixed education conditions, including the end of universal government-sponsored K-12 programs.
- Aramark expected to complete the proposed tax-free spin-off of Uniform in the second half of fiscal 2023, subject to customary conditions and approvals. Separately, it announced an agreement to sell its 50% stake in AIM Services for $535 million, with proceeds intended for debt repayment; closing was anticipated early in fiscal Q3, subject to conditions.
- Management said available cash, marketable securities and revolver capacity should meet anticipated needs and noted no significant debt maturities until 2025. The company was in compliance with debt covenants; the secured-debt ratio was 3.12x against a maximum of 5.125x, and the interest coverage ratio was 3.70x against a 2.000x minimum.
- Risks include inflation and cost recovery under contracts, labor availability and costs, client retention and contract renewals, supply-chain disruption, foreign exchange, interest rates and leverage, and execution, timing, tax treatment and costs of the proposed Uniform spin-off. The filing reported no material change to previously disclosed risk factors. Legal matters were not expected to be material based on information available, though unfavorable developments could have a material effect.
