The reported effective tax benefit rates were 612% and 610%, respectively; Ashland reported effective tax rates excluding key items of 19% for both periods. Adjusted diluted EPS was $0.97 for the quarter versus $1.09 a year earlier, and $1.08 year to date versus $1.73.
- Cash flow: Six-month operating cash flow from continuing operations was $255 million, versus $27 million. Capital expenditures were $70 million, yielding reported free cash flow of $185 million; ongoing free cash flow, Ashland’s non-GAAP measure, was $70 million versus $16 million. Cash increased by $22 million to $439 million.
- Liquidity and debt: At March 31, cash was $439 million and total debt was $1.328 billion, with no short-term debt. Net leverage was 2.1x versus a maximum covenant limit of 4.0x; interest coverage was 7.3x versus a 3.0x minimum. Ashland reported compliance with its debt covenants.
- Balance sheet: Total assets were $5.948 billion and equity was $3.134 billion. Working capital was $974 million, down $76 million from September 30, 2023. Inventory declined from $626 million to $550 million.
Changes and operating drivers
- Quarterly sales fell $28 million, mainly from unfavorable pricing; six-month sales declined $80 million, reflecting lower volume and unfavorable pricing. Cost of sales rose despite lower sales, reducing gross margin by 4.7 percentage points for the quarter and 7.4 points year to date.
- Adjusted EBITDA fell $19 million in the quarter and $57 million year to date. Management cited unfavorable pricing, particularly in Intermediates, and higher variable compensation expense.
- Specialty Additives was the most pressured segment: quarterly sales were $157 million versus $161 million and operating income was a loss of $18 million versus income of $15 million. Adjusted EBITDA was $27 million versus $34 million. Results included $27 million of accelerated depreciation in the quarter and $49 million year to date from manufacturing-network optimization.
- Life Sciences quarterly sales and operating income declined to $222 million and $50 million, respectively, primarily due to lower volume. Personal Care quarterly sales rose to $169 million and operating income to $25 million. Intermediates quarterly sales declined to $40 million and operating income to $9 million, primarily due to unfavorable price/mix.
- Quarterly SG&A increased $27 million to $106 million, including restructuring and other costs and higher variable compensation. The company repurchased $100 million of shares during the six-month period; $900 million remained under its $1 billion authorization. Dividends paid were $0.385 per share in each of the first two fiscal quarters.
Outlook, risks and contingencies
- Ashland expects overall end-market demand growth to be flat to low-single digits for fiscal 2024. It expects higher full-year volume and mix to approximately offset revenue effects from portfolio actions and softer pricing, with sequential margin improvement in the second half as volume, production and portfolio mix improve.
- For fiscal Q3, management forecast sales of $560 million to $580 million and adjusted EBITDA of $138 million to $148 million. For fiscal 2024, it forecast sales of $2.150 billion to $2.225 billion and adjusted EBITDA of $470 million to $500 million. These are non-GAAP-adjusted EBITDA forecasts; the filing does not provide a reconciliation to GAAP guidance.
- Portfolio actions include consolidating CMC and methylcellulose capacity and rebalancing the HEC network. Ashland estimated that completed actions could improve adjusted EBITDA margins by approximately 200–250 basis points and returns on net assets by 150–200 basis points. The company also announced closure of a production unit at Doel, Belgium, while retaining another methylcellulose unit.
- Asbestos reserves totaled $443 million at quarter end, with related insurance receivables of $136 million. Ashland said modeled future costs could be as high as approximately $422 million for its asbestos claims and $288 million for Hercules claims, depending on assumptions. Environmental remediation reserves were $198 million; the estimated upper end of reasonably possible future costs was approximately $450 million. Outcomes depend on uncertain claims, remediation requirements, insurance recoveries and other estimates.
- Management highlighted potential effects from macroeconomic conditions, raw-material costs, competition, supply-chain disruption, geopolitical conflicts, legal proceedings and the company’s substantial debt. Sales to Ukraine, Russia and Belarus were less than 1% of consolidated sales; sales to Israel were approximately 1%. The filing reported no material change to previously disclosed risk factors.
