- Fiscal 2024 sales rose 16.2%. Precoat Metals contributed $881.4 million; its year-over-year increase largely reflects a full year of ownership versus results beginning May 13, 2022 in fiscal 2023. Metal Coatings sales increased 3.0% to $656.2 million.
- Management cited continued demand in construction, industrial, consumer and transportation markets and value-driven pricing. Continuing-operations net margin increased to 6.6% from 5.0%.
- Operating cash flow included a $54.0 million benefit from reduced working capital. After $95.1 million of capital expenditures, operating cash flow less capital expenditures was approximately $149.4 million.
- Cash and cash equivalents were $4.3 million at year-end; $355.5 million was available under the revolving credit facility. AZZ used cash to make $115.0 million of net debt payments and paid $31.4 million in common and preferred dividends.
- Gross debt was $1.010 billion, versus $1.125 billion a year earlier; balance-sheet long-term debt, net of issuance costs, was $952.7 million. The weighted average debt interest rate was 8.58%. Approximately half of variable-rate debt was hedged. AZZ reported compliance with debt covenants at year-end.
- Common dividends were $17.0 million for the year, or $0.68 per share. The 6% Series A preferred stock generated $14.4 million of dividends; its liquidation preference was approximately $312.5 million and it was convertible into about 4.1 million common shares.
Changes, unusual items and outlook
- Operating income increased in both Metal Coatings and Precoat Metals. Precoat Metals operating income grew to $139.6 million from $79.5 million, chiefly reflecting the additional ownership period, with lower freight and SG&A also contributing.
- Interest expense rose to $107.1 million from $88.8 million, primarily because fiscal 2024 included a full year of debt incurred for the Precoat acquisition.
- Fiscal 2024 included approximately $17.0 million of legal settlements and accruals: a $5.5 million Metal Coatings accrual, a $5.8 million settlement related to retained AIS litigation, and a $5.8 million settlement of a matter acquired with Precoat. AZZ also accrued $5.8 million for the Precoat-related Nucor dispute, including $5.3 million settlement consideration and $0.5 million of legal expense.
- Fiscal 2023 reported a $52.97 million net loss, including a $159.9 million pre-tax loss on disposal of discontinued AIS operations. Fiscal 2024 reported no discontinued-operations results. Comparisons are affected by the Precoat acquisition and AIS divestiture.
- For the first quarter of fiscal 2025, management expected segment selling prices to remain broadly consistent, demand to follow typical seasonal patterns, and customer inventories to support demand. The filing does not provide full-year fiscal 2025 financial guidance.
- A 215,000-square-foot aluminum coil coating facility in Washington, Missouri is expected to begin operating in the fourth quarter of fiscal 2025. Estimated project cost is $125.8 million; $43.2 million of commitments remained at year-end. About 75% of expected output is supported by a contractual commitment.
- On March 20, 2024, after year-end, AZZ repriced its term loan margin from SOFR plus 3.75% to SOFR plus 3.25%.
- AZZ disclosed an immaterial correction to the classification of Series A preferred stock as mezzanine equity rather than permanent stockholders’ equity. The revision did not affect net income, EPS or cash flows. The auditor issued unqualified opinions on the financial statements and internal controls and reported no critical audit matters.
Risks and contingencies
- Demand is cyclical and seasonal, with exposure to construction and industrial activity, weather, customer project timing and economic conditions.
- Profitability is exposed to zinc, natural gas, paint and other input costs, supply-chain disruption, labor availability and the ability to pass cost increases through to customers.
- Substantial debt, variable interest rates and restrictive covenants may constrain financial flexibility. A hypothetical 10% increase in interest rates was estimated to increase fiscal 2024 interest expense by $4.2 million.
- The preferred stock has senior claims to common equity, a sizable liquidation/redemption amount and potential conversion dilution. Its dividend rate is scheduled to increase beginning in 2028.
- Environmental remediation reserves were $21.8 million, including $3.2 million classified as current. The defined benefit pension plan was underfunded by $31.1 million; AZZ expects to contribute $8.0 million in fiscal 2025.
- AZZ faces ordinary-course litigation and other contingencies. Management said it did not expect routine proceedings to have a material effect, but outcomes and some receivable collections remain uncertain. The $5.5 million Texas verdict against AZZ was accrued and the company expected to appeal.
- Other identified risks include competition, customer credit, goodwill or intangible impairment, cybersecurity, foreign exchange, trade policy and evolving environmental requirements. AZZ said prior actual or attempted cyberattacks had not materially affected operations or financial condition.
Investor verification priorities
- Review the contribution of organic volume and pricing versus the full-year Precoat acquisition effect in sales and earnings growth.
- Track cash conversion and working capital: fiscal 2024 operating cash flow benefited by $54.0 million from working-capital reductions.
- Verify debt reduction, revolver availability, interest costs, covenant headroom and the effects of the March 2024 term-loan repricing.
- Assess completion costs, timing and customer commitments for the Washington facility, including the remaining $43.2 million of capital commitments.
- Monitor legal and environmental exposures, pension funding, and collection of the $5.2 million net receivable tied to retained AIS litigation.
- Evaluate preferred-stock claims, dividends and potential dilution alongside common-shareholder returns.
