Financial position and material changes

  • Revenue fell 8.4%. DTC revenue declined 7.5%, reflecting 6.5% fewer total orders and a 1.1% lower average order value. Commerce revenue fell 15.1%, primarily due to retail-partner inventory reductions and pressure on discretionary categories.
  • Gross margin improved 410 basis points, attributed mainly to lower inbound freight and product costs. DTC gross margin was 63.9%; Commerce gross margin was 43.3%.
  • General and administrative expense fell 11.5%, including lower shipping and fulfillment, compensation, rent and professional fees. Advertising and marketing expense rose 15.2% to $79.3 million.
  • Cash and cash equivalents were $125.5 million at year-end; current assets were $221.7 million and current liabilities were $75.5 million. Inventory declined to $84.2 million from $124.3 million.
  • Long-term debt, net of financing costs, was $39.9 million; the 2025 Convertible Notes had $40.6 million outstanding principal and mature December 1, 2025. BARK repurchased $45 million principal during FY2024. No borrowings were outstanding under its $35 million revolving credit facility, which matures December 13, 2024.
  • Cash declined by $52.4 million during FY2024, principally reflecting debt payments and share repurchases. FY2024 share repurchases under the program totaled $5.9 million; $1.6 million remained authorized at year-end.

Outlook, risks and unusual items

  • Management said cash, operating cash flows and borrowing availability should be sufficient to fund operations for at least 12 months, and reported compliance with borrowing covenants. No quantified revenue or earnings guidance is provided.
  • Management expects consumables to be an important potential growth driver, plans to expand retail consumables distribution and was migrating product platforms to bark.co. BARK Air, announced after year-end in April 2024, is a dog-focused charter-flight offering with a third-party aviation partner.
  • Key risks include continued operating losses, discretionary consumer spending, customer acquisition and retention, competition, reliance on a limited number of suppliers and logistics providers, cybersecurity and privacy, and execution of the consumables and technology-platform strategies. The 2025 notes create a material repayment or conversion consideration; the credit facility also has a near-term maturity.
  • FY2024 included $3.1 million of asset impairment, including a write-down of previously capitalized software and prepaid software after a strategic platform shift, and a $1.8 million gain on debt extinguishment. Adjusted EBITDA and free cash flow are non-GAAP measures and should be considered alongside GAAP results.
  • A putative shareholder class action filed in Delaware in March 2024 concerns parties to the historical merger and alleges fiduciary-duty and related claims. BARK stated that potential liability could not yet be quantified. The company reported no other pending litigation expected to have a material effect.
  • The financial statements received an unqualified audit opinion, and management and the auditor concluded internal control over financial reporting was effective as of March 31, 2024.

Important facts for investors to verify

  • Whether order trends, average order value and revenue stabilize, and whether the higher gross margin is sustained.
  • Progress in consumables sales, retail expansion and the bark.co platform consolidation, including the costs and returns of those initiatives.
  • Cash generation and spending needs relative to the December 2025 convertible-note maturity and December 2024 credit-facility maturity.
  • Inventory quality and reserve assumptions; inventory valuation was identified as a critical audit matter, with $3.5 million of excess and obsolete inventory reserves at year-end.
  • Developments in the shareholder litigation and the impact of BARK’s June 2024 authorization of a new $15 million share-repurchase program.
