Revenue growth primarily reflected fulfillment of orders delayed by 2022 supply-chain constraints and increased shipments of the BKR product line. Approximately 76% of the $27 million year-end 2022 backlog was fulfilled during the first half of 2023, with most of the remainder fulfilled by year-end. Year-end backlog was approximately $16.0 million, down from $27.0 million.

SG&A was 31.1% of sales versus 41.1% in 2022. Engineering and product-development expense was $9.3 million, compared with $9.6 million, while selling and marketing expense increased to $6.1 million from $4.4 million due largely to BKR9000-related activity. Other expense was $1.4 million, including a $0.7 million unrealized investment loss and $0.6 million of net interest expense.

Liquidity, debt and capital resources

  • Working capital was approximately $16.8 million at December 31, 2023, versus $13.2 million at December 31, 2022.
  • Current assets were $37.2 million, including $24.0 million of net inventory and $7.9 million of net receivables. Inventory increased from $22.1 million, and the slow-moving, excess and obsolete inventory allowance increased to $1.8 million from $1.2 million.
  • Outstanding borrowings under the Alterna Invoice Purchase and Security Agreement were approximately $6.5 million at year-end. The facility has maximum capacity of up to $15 million, bears interest at Prime plus 1.85%, and was renewed for one year in November 2023.
  • The Alterna facility is secured by substantially all subsidiary personal property and is subject to borrowing-base limitations, covenants and events of default. The Company and subsidiaries provide guarantees.
  • Notes payable totaled $71,000 at year-end, with the remaining equipment-financing obligation scheduled to mature in 2024.
  • Management believes cash, expected operating cash flow and borrowing availability are sufficient for foreseeable working-capital requirements, but acknowledges that market, operating and geopolitical conditions could restrict access to capital.
  • The quarterly cash dividend was indefinitely suspended in March 2023. No shares were repurchased under the $5 million repurchase authorization.

Material changes and unusual items

  • On November 6, 2023, the Company entered into manufacturing and transition agreements with East West Manufacturing. East West is expected to become the exclusive third-party manufacturer of the radio product line under a three-year arrangement, with production transitioning from the West Melbourne facility.
  • In connection with the East West transaction, the Company issued 77,520 common shares for $1.0 million and a five-year warrant for up to 135,300 shares at an exercise price of $15.00 per share. The warrant was valued at $1.0 million, including a $950,000 reduction in accounts payable and $50,000 in cash.
  • The Company executed a one-for-five reverse stock split effective April 21, 2023. Historical share and per-share amounts were adjusted retrospectively.
  • The Company terminated its $15 million equity sales agreement with ThinkEquity effective December 29, 2023. Approximately $50,000 of shares had been sold under the agreement.
  • The Company recognized $0.7 million of unrealized losses on its investment in FG Holdings LLC. On January 25, 2024, it exchanged that investment for 52,000 BK Technologies shares valued at approximately $0.7 million and recognized a $91,000 realized loss in the first quarter of 2024.
  • Net deferred tax assets were $4.1 million after a $4.4 million valuation allowance, reflecting management’s conclusion that the Company may not generate sufficient taxable income to realize the entire benefit.

Outlook, management commentary and risks

Management stated that customer demand, backlog and the sales funnel remained healthy at year-end and that the BKR Series, expanded sales force and new public-safety customers could support future growth. The filing does not provide formal revenue, earnings or margin guidance.

Supply-chain conditions improved from 2022, but management continues to identify component availability, extended lead times, labor shortages, wage pressure, inflation and geopolitical events as potential constraints. The Company is increasing its use of contract manufacturing to expand capacity and manage costs. The East West transition creates potential execution, quality, timing and dependency risks.

  • Operations remain highly dependent on LMR products and on government and public-safety spending, including U.S. Government sales.
  • The Company competes against substantially larger providers, particularly Motorola Solutions, which the filing estimates controls well over half of the LMR market.
  • Government contracts are subject to competitive bidding, audits, regulatory requirements, budget delays, shutdowns, termination for convenience and possible sanctions or debarment.
  • Manufacturing and component sourcing rely on a limited number of suppliers, including single-source suppliers, without guaranteed supply arrangements.
  • Cybersecurity incidents affecting the Company, its products, customers, suppliers or manufacturing partners could cause operational disruption, liability and reputational damage. The Company reported no cybersecurity incident with a material adverse impact as of the filing date.
  • The Company carries substantial inventory and has significant purchase commitments of approximately $12.1 million as of year-end.
  • Fixed-price contracts, inflation, interest costs, investment losses, customer concentration, deferred-tax-asset realizability and access to capital could adversely affect future results.

Important facts for investors to verify

  • Whether improved gross margins and operating cash flow are sustainable after backlog normalization and the transition to East West manufacturing.
  • The timing, cost, quality performance and strategic effect of moving radio production to East West.
  • The remaining availability, borrowing-base capacity, interest cost and covenant compliance under the Alterna facility.
  • Whether the $16.0 million year-end backlog converts to revenue at expected margins and how quickly new BKR Series orders develop.
  • Inventory aging, the adequacy of the $1.8 million obsolescence allowance and exposure under the $12.1 million of purchase commitments.
  • The realizability of the $4.1 million net deferred tax asset and the potential for additional valuation allowances.
  • The effect of the suspended dividend, equity issuance, East West warrant and potential future capital raises on shareholder dilution and capital allocation.
  • The filing contains differing descriptions of supplier concentration, including references to approximately 69% and approximately 95% of procurements from twelve suppliers; investors should reconcile this disclosure in the underlying notes and subsequent filings.
