Material changes versus the prior comparable period
- Revenue rose 2.3% year over year; same-store revenue grew 4.8%. Same-store admissions increased 3.5% and adjusted admissions 5.3%.
- Despite revenue growth, stockholder-attributable results shifted from $46 million income to a $133 million loss. The 2023 effective tax rate was 92.3%, reflecting, among other items, nondeductible goodwill related to divested hospitals and lower pretax income.
- Operating cash flow fell $90 million to $210 million; management cited payment of accumulated supplemental executive retirement plan benefits as a factor. Cash paid for interest was $801 million.
- Operating expense ratios excluding depreciation and asset-sale/impairment items increased to 89.0% of revenue from 88.3%, while reported operating margin improved partly due to a net $87 million gain on impairment and sale of businesses.
- The company divested eight hospitals and sold a majority interest in one hospital in 2023, receiving approximately $518 million in net proceeds. The divested hospitals had approximately $594 million of 2022 revenue.
Outlook, risks and unusual items
- Management expects 2024 capital expenditures of approximately $350 million to $400 million. It stated that cash, operating cash flows, ABL availability, capital-market access and potential disposition proceeds are expected to fund requirements through the next 12 months and foreseeable future; this is subject to substantial risks and is not a guarantee.
- At December 31, 2023, the $1.0 billion ABL facility had $247 million drawn and approximately $637 million of additional availability after letters of credit. Approximately $21 million of debt was due within 12 months; scheduled debt maturities include $1.372 billion in 2026 and $2.609 billion in 2027.
- In December 2023, CHS issued $1.0 billion of 10.875% secured notes due 2032 and used proceeds, with cash, to redeem $985 million of 8% notes due 2026. The refinancing extends maturity but introduces a higher coupon. The company also repurchased $402 million principal of other notes in 2023, recognizing a $72 million pretax extinguishment gain.
- Key operating risks include labor and specialist costs, staffing shortages, reimbursement and payor negotiations, Medicaid coverage changes, collection risk, high leverage and refinancing needs, and dependence on a few states. The filing notes that the outpatient payment adjustment related to the 340B program reduced 2023 reimbursement and expects future offsets to weigh on results.
- The proposed sale of Lake Norman and Davis Regional hospitals to Novant was challenged by the FTC in January 2024; completion and timing are uncertain. A DOJ investigation received a document demand in January 2024 concerning utilization review, inpatient admissions and inpatient dialysis. The filing also describes other legal matters and warns that adverse outcomes could affect results or cash flows in a particular period.
- A third-party file-transfer vendor breach disclosed in February 2023 exposed personal information of certain patients. The company reported that identified cybersecurity risks had not materially affected it to date, but future incidents could have adverse effects.
- Unusual 2023 items included the $87 million net gain on business sales and impairments, a $72 million debt-extinguishment gain, $36 million of government and other legal costs, $22 million of business-transformation costs and $12 million of restructuring charges in the Adjusted EBITDA reconciliation. Adjusted EBITDA is non-GAAP and should not be viewed as a substitute for GAAP results.
Important facts for investors to verify
- Reconcile consolidated net income of $16 million with the $133 million loss attributable to CHS stockholders, including the $149 million attributable to noncontrolling interests.
- Assess the debt maturity schedule, refinancing terms and ability to generate cash for interest, capital expenditures and upcoming maturities.
- Track revenue and volume trends against labor, professional liability and other cost pressures, and determine how much reported operating improvement reflects divestiture-related gains.
- Monitor the FTC challenge to the Novant transaction, the DOJ investigation and other legal contingencies for developments or financial impact.
- Review the company’s assumptions for patient receivable collectability and professional liability reserves. The filing identifies these as significant estimates; auditors also identified them as critical audit matters.
- Confirm progress and potential control or disruption effects from the multiyear ERP and business-process redesign. Management and the auditor reported effective internal control over financial reporting as of year-end.
