Sales rose 11.6%, reflecting 5.0% blended same-restaurant sales growth and the addition of Ruth’s Chris and other net new restaurants. Same-restaurant sales growth excludes Ruth’s Chris. Earnings from continuing operations were $194.8 million, up 0.6%; diluted EPS from continuing operations was $1.60, up 2.6%. The effective tax rate declined to 12.7% from 13.7%.
Food and beverage costs fell to 31.2% of sales from 32.5%, and labor costs to 32.1% from 32.5%, mainly due to pricing and sales leverage, partly offset by inflation. General and administrative costs increased to 5.6% of sales from 3.6%; Darden attributed the increase largely to Ruth’s Chris transaction and integration costs, incentive pay, stock compensation and mark-to-market adjustments. The quarter included approximately $24.8 million of Ruth’s Chris acquisition and integration expenses.
Liquidity, debt and capital allocation
At August 27, 2023, cash and cash equivalents were $192.1 million, versus $367.8 million at May 28, 2023. Current assets were $835.7 million and current liabilities were $2,094.2 million. Debt included $95.4 million of short-term commercial paper and $1,477.1 million of long-term debt. The company had $904.6 million of availability under its $1 billion revolving credit facility after accounting for commercial paper; it reported compliance with the facility’s covenants.
Cash flow from operations declined primarily because of working-capital changes compared with the prior-year period. Investing cash outflow was $854.2 million, including $699.9 million for the Ruth’s Chris acquisition. Financing provided $409.4 million, including $600 million of term-loan proceeds, alongside $158.5 million in dividends paid and $142.9 million in share repurchases. The board declared a $1.31-per-share dividend payable November 1, 2023.
Material changes and outlook
Ruth’s Chris added 77 company-owned restaurants and contributed to Fine Dining sales growth; acquisition accounting remains preliminary, including fair values and goodwill. The acquisition was funded with a $600 million, three-year term loan and cash on hand. Goodwill recorded was $339.5 million, and the acquired trademark was valued at $341.7 million.
For fiscal 2024, management expects sales of $11.5–$11.6 billion, same-restaurant sales growth of 2.5%–3.5%, and approximately 50 new restaurant openings, including Ruth’s Chris openings. Planned capital expenditures are $550–$600 million. These are forward-looking estimates, not guarantees.
