E.L.F. Beauty, Inc. — Form 10-K Summary
Reporting period: Fiscal year ended March 31, 2020 (April 1, 2019–March 31, 2020). Although the request references 2019 Q4, this filing is an annual report; it separately reports the quarter ended March 31, 2020. The company changed its fiscal year-end to March 31, so the prior March 2019 period was a three-month transition period and is not comparable to the full fiscal year.
Business context
The company sells affordable cosmetics and skin-care products through its e.l.f. Cosmetics and W3LL PEOPLE brands. It operates as one reportable segment and uses retail, e-commerce and international channels. National and international retailers generated 92% of fiscal 2020 sales, direct-to-consumer e-commerce generated 8%, and estimated digital sales across channels were approximately 11%. Walmart and Target represented 31% and 22% of sales, respectively. The company acquired clean-beauty brand W3LL PEOPLE in February 2020 for approximately $25.9 million in cash.

Sales increased 6% year over year, primarily from improved productivity in retail and e-commerce, partly offset by closing all 22 stand-alone e.l.f. stores. Gross margin rose three percentage points, aided by product mix and innovation, cost savings, selective price increases, favorable foreign exchange and higher prior-year inventory reserves; tariffs and sales adjustments partly offset the improvement. SG&A rose 14%, reflecting greater marketing and digital investment, bonuses, merchandising and depreciation.
For the quarter ended March 31, 2020, net sales were $74.7 million, gross profit was $48.1 million, and net loss was $0.3 million. Cash and equivalents at year-end were $46.2 million; working capital excluding cash was $35.1 million. Investing cash outflow was $35.3 million, including $25.9 million for the W3LL PEOPLE acquisition and $9.4 million of capital expenditures. Financing cash outflow was $16.7 million, including $9.5 million of term-loan repayments and $7.9 million of share repurchases.
Total debt and finance lease obligations were $138.9 million at March 31, 2020, including $135.9 million of variable-rate credit-agreement debt. The company had $49.8 million of revolver availability and was in compliance with its financial covenants at year-end. In April 2020 it drew $20 million on the revolver and amended covenant terms. Management stated that cash and revolving-facility access totaled approximately $95 million and believed liquidity was adequate for the next 12 months.
Material changes, outlook and risks
- COVID-19: Management reported a significant decline in retail sales from pandemic-related changes in consumer behavior and expected disruption until consumers returned to normal shopping patterns. Suppliers in China and U.S. distribution centers were operating at normal run rates at the time of the filing. The company reduced expenses, scaled back marketing in proportion to sales, managed receivables and inventory, and planned cuts to merchandising, operations and capital expenditures. No quantified sales or earnings guidance was provided.
- Tariffs and sourcing: Most products were sourced or manufactured in China and remained affected by U.S. tariffs. Mitigation included selective price increases, supplier negotiations, exploring suppliers outside China, favorable foreign exchange and product-mix changes; management gave no assurance these actions would remain effective.
- Customer concentration: Walmart and Target together contributed 53% of fiscal 2020 sales. Retailers generally had no obligation to continue purchasing, creating exposure to order changes, store traffic, shelf allocation and customer inventory actions.
- Debt and market exposure: Variable-rate borrowings expose earnings and cash flow to interest-rate changes; a 1% rate movement was estimated to affect annual interest expense by about $1.4 million. A hypothetical 10% adverse RMB movement was estimated to reduce fiscal 2020 net income by approximately $10.8 million. Tariffs, supply-chain dependence and seasonal working-capital needs are additional risks.
- Unusual items: Fiscal 2020 included $6.0 million of restructuring income, primarily a $7.7 million gain from settling store lease liabilities, partly offset by related costs. The company said store-closure lease liabilities were settled and no additional material restructuring costs were expected. It repurchased 564,468 shares for $7.9 million during the year, with $17.1 million remaining under the $25 million authorization.
- Contingencies and controls: Management said pending legal matters were not expected to have a material adverse effect. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor issued an unqualified opinion on the financial statements but did not attest to internal controls.

- W3LL PEOPLE’s subsequent sales, integration costs and realization of acquisition synergies; the acquisition purchase-price allocation was still pending finalization.
