Business Context
Enerpac is a global industrial tools, services, technology and solutions company operating in more than 100 countries. Its principal reportable segment is Industrial Tools & Services (IT&S), which provides hydraulic and mechanical tools, heavy-lifting solutions, maintenance and manpower services, and tool rentals. The Company continued its strategic transition toward a pure-play industrial tools and services business. Legacy EC&S retained liabilities remained classified as discontinued operations.

Product sales increased to $490.6 million from $454.1 million, primarily reflecting pricing actions and some volume contribution. Service and rental sales declined to $107.6 million from $117.1 million, partly due to reduced activity and more selective project quoting in the MENAC region.
IT&S sales increased 5% to $555.2 million, while IT&S operating profit increased to $135.9 million from $78.7 million. IT&S operating margin expanded to 24.5% from 14.9%.
Accounts receivable declined to $97.6 million from $106.7 million, inventory declined to $74.8 million from $83.7 million, and net primary working capital increased modestly to $122 million, or 19% of sales, from $118 million, or 20% of sales.
Liquidity, Debt and Capital Allocation
Cash and cash equivalents were $154.4 million at August 31, 2023, including $148 million held by foreign subsidiaries and $6 million domestically. Operating cash flow from continuing operations was $78.6 million. The Company used $53.1 million in financing activities, including $57.7 million for share repurchases and $2.2 million for dividends.
In September 2022, Enerpac refinanced its debt with a $600 million senior credit facility consisting of a $400 million revolving credit line and a $200 million term loan, maturing in September 2027. At year-end, borrowings included $198.8 million under the term loan and $16.0 million under the revolver. Approximately $381.5 million was available under the revolver after letters of credit. The Company was in compliance with all debt covenants.
Debt carries variable interest rates based primarily on adjusted SOFR. A $60 million interest-rate swap effectively converts part of the term loan to a fixed rate. Net financing costs increased to $12.4 million from $4.4 million due to higher interest rates and changes in debt mix.
The Company repurchased 2.2 million shares for $57.7 million during fiscal 2023. At August 31, 2023, 4.0 million shares remained authorized for repurchase. The fiscal 2023 dividend was $0.04 per share.
Material Changes Versus Fiscal 2022
- Sales increased 5%, despite an approximately $11 million unfavorable foreign-exchange impact and approximately $6 million of sales lost from the Cortland Industrial divestiture.
- Gross margin improved from 46% to 49%, primarily from pricing actions and production efficiencies.
- Operating profit increased substantially, supported by pricing, productivity improvements and lower prior-year expenses, including a $13 million MENAC agent reserve and $7 million of leadership transition charges recorded in fiscal 2022.
- ASCEND program expenses increased to approximately $43.1 million from $16.7 million, while management reported approximately $54 million of annual operating profit improvement realized through fiscal 2023.
- Cash flow from operations increased by approximately $26 million, reflecting higher earnings and improved receivables and inventory performance, partly offset by lower accounts payable.
- The Company completed the Cortland Industrial divestiture and recognized a $6.2 million net gain.
- Foreign currency translation generated $13.8 million of other comprehensive income in fiscal 2023, compared with a $42.0 million loss in fiscal 2022.
Guidance, Outlook and Management Commentary
- ASCEND is expected to be fully implemented by the end of fiscal 2024. Total program investment is estimated at $70 million to $75 million, with expected annual operating profit improvement of $50 million to $60 million.
- Management expects to incur $10 million to $15 million of ASCEND costs in fiscal 2024, including $3 million to $5 million of restructuring costs.
- The Company expects cash, available revolver capacity and anticipated operating cash flow to fund operations, debt service, acquisitions and capital expenditures for the foreseeable future.
- Backlog was $54 million at August 31, 2023, down from $72 million, and substantially all backlog was expected to ship within twelve months assuming no significant supply-chain constraints.
- Management continues to emphasize organic growth, pricing, lean and 80/20 operating initiatives, digital customer engagement, emerging-market expansion, disciplined acquisitions and opportunistic capital returns.
Risks, Contingencies and Unusual Items
- Demand is exposed to cyclical industrial, oil and gas, infrastructure, energy and construction markets, as well as broader economic weakness and geopolitical disruptions.
- Supply-chain interruptions, reliance on certain single or limited suppliers, tariffs, commodity costs and logistics constraints could affect costs and fulfillment.
- Foreign-exchange exposure is significant; a hypothetical 10% decline in foreign currency rates relative to the U.S. dollar would have reduced fiscal 2023 sales by approximately $26 million and operating profit by approximately $2 million.
- One delinquent agent represented 11.3% of accounts receivable at year-end; the related receivable was fully reserved. The Company also discontinued business in Russia and had previously fully reserved certain Russian receivables.
- Goodwill and other intangible assets totaled $303.8 million, or approximately 40% of total assets. No fiscal 2023 goodwill impairment was recorded, but impairment testing depends on forecasts, margins and discount rates.
- Goodwill associated with IT&S was $255.3 million and was identified as a critical audit matter because of the judgment involved in its valuation.
- The Company had $8.6 million of outstanding letters of credit and various legal, environmental, product liability, employment and regulatory matters. Management stated that these matters were not expected to have a material adverse effect, although outcomes remain uncertain.
- The Company continues to address a Dutch investigation related to historical sales involving the Crimea region. Management recorded a prior estimate for potential penalties and stated that no material adverse impact is currently expected.
- Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting.
Investor Verification Checklist
- Verify whether ASCEND delivers the expected $50 million to $60 million annual operating profit benefit after the remaining fiscal 2024 investment.
- Monitor product volume growth separately from pricing-driven sales growth and assess the sustainability of the 49% gross margin.
- Track service and rental recovery, particularly in the MENAC region.
- Review leverage, variable-rate interest expense, covenant headroom and the use of the $381.5 million revolver capacity.
- Assess the collectability of foreign receivables and the potential for additional credit losses or distributor disruptions.
- Evaluate goodwill sensitivity to changes in IT&S revenue forecasts, operating margins and discount rates.
- Follow the final resolution of the Dutch sanctions matter and any retained liabilities from discontinued operations and divestitures.
- Reconcile continuing-operations performance with total-company earnings, which included a $7.1 million loss from discontinued operations in fiscal 2023.
