Material changes, outlook and risks

  • The October 2013 acquisition of Stayfree, Carefree and o.b. brands cost approximately $187.1. The company reported $8.0 of acquired-inventory valuation expense and $7.4 of acquisition/integration costs for the nine months.
  • The company is pursuing a proposed tax-free spin-off of Personal Care and Household Products, targeted for the second half of fiscal 2015, with a Form 10 filing expected in early calendar 2015. Completion remains subject to approvals and other conditions; management may change or abandon the plan. Spin-off costs were $7.0 in Q3 and year to date.
  • The expanded restructuring program is estimated to cost approximately $350 in total, with approximately $242 incurred through June 30. Management expected gross savings of $135–$150 for fiscal 2014 and total project gross savings of $235–$250 by fiscal year-end; savings are expected to be fully realized in fiscal 2016.
  • Household Products faced lost distribution at two U.S. retailers, competitive pressure and soft category demand. Latin American pricing controls and import restrictions also affected sales. Higher advertising and promotion spending was reported across both segments.
  • Venezuela exposure is a notable currency risk: approximately $73 of net monetary assets were carried at the official 6.30 bolivars-per-dollar rate. The filing estimated potential remeasurement charges of about $30 at the SICAD I rate and $64 at SICAD II; management said actual effects were uncertain and could be material. Venezuela represented 1.3% of sales.
  • Substantially all cash was held outside the U.S.; repatriation may have tax or regulatory consequences. The company also cited foreign-exchange, commodity, interest-rate, execution, market and separation risks. Pending legal proceedings were not considered reasonably likely to be material, based on information available.

Most important facts to verify

  • Confirm the intended issuer: this filing is for Energizer Holdings, Inc., not Edgewell Personal Care.
  • Track whether organic sales declines—particularly in Household Products—stabilize, and whether the lost retail distribution is recovered.
  • Compare restructuring spending and realized savings with the revised cost estimate and management’s savings targets.
  • Monitor spin-off approvals, timing, total costs, debt allocation and any changes to the proposed terms.
  • Assess Venezuela exchange-rate developments and potential remeasurement exposure, alongside cash accessibility and debt covenant headroom.
