- Q2 cost of revenue increased 12.8% and SG&A increased 14.2%, reflecting higher headcount, wage inflation, talent replacement costs, travel, sales and marketing investment, and research and development spending.
- Cash flow from operations was negative $11.9 million for the first six months of 2022 versus positive $237.8 million in the prior-year period, primarily due to higher accounts receivable, tax payments, and employee and vendor payments.

- Management stated that operating cash flow, cash reserves, and debt capacity are expected to fund operations, growth, dividends, and additional repurchases for the next twelve months and foreseeable future, subject to risks and uncertainties.
Material changes, unusual items, and outlook
- The company recorded a $38.8 million restructuring charge in Q2, including $21.7 million of non-cash costs for abandoned leased office premises and asset write-downs and $17.1 million of employee severance costs. The charge reduced GAAP operating income but was excluded from adjusted operating income.
- Management approved a plan to divest a business within the Consumer and Healthcare segment. At June 30, 2022, $49.4 million of assets and $9.9 million of liabilities were classified as held for sale. The business generated $4.9 million of Q2 revenue and a $7.2 million loss; no impairment was recorded. The sale was intended to be completed within twelve months after quarter-end.
- The company acquired Hoodoo Digital on December 31, 2021, for total consideration of $66.7 million. The acquisition expanded Adobe-related digital capabilities and contributed to first-half segment revenue growth.
- Other comprehensive loss was $92.7 million in Q2 and $116.2 million for the first half, driven primarily by currency translation losses and cash-flow hedge losses. Accumulated other comprehensive loss increased to $670.5 million.
- The filing provides no specific quantitative revenue or earnings guidance. Management expects continued demand for Data-Tech-AI, cloud-based data solutions, digital transformation, and newly ramping client engagements, but highlighted margin pressure from wage inflation, talent replacement costs, travel, and investment spending.
- COVID-19 had a modest negative impact in the first half of 2022 and was not considered significant to Q2 revenue. The Russia-Ukraine conflict had not materially affected the company through the filing date, although management continues to monitor potential economic, currency, inflation, and financing effects.
Risks and contingencies
- Key operating risks include employee hiring and retention, wage inflation, utilization and pricing, client retention and concentration, competition, technology and cybersecurity failures, data protection compliance, foreign exchange volatility, and macroeconomic deterioration.
- The company has exposure to floating-rate debt and LIBOR transition risk. Interest-rate swaps covered approximately $446 million of notional debt at June 30, 2022.
- Indian tax authorities have denied or challenged approximately $29.5 million of GST and service-tax refunds. The company is appealing and has recorded no reserve because it believes the liability is remote.
- An Indian defined-contribution benefits matter could result in additional historical contributions, but the timing and amount cannot currently be reliably estimated.
- An Indian tax assessment of approximately $104.0 million, excluding subsequent penalties and interest, was cancelled on appeal; further appeal by the tax authorities remains possible. No reserve was recorded.
- The company reported no legal proceedings expected to have a material adverse effect and stated that disclosure controls and procedures were effective.
