For the first half, operating cash flow was $38.9m, investing cash outflow was $3.5m, and financing cash outflow was $45.6m. Cash, cash equivalents and restricted cash declined $10.2m from year-end 2022 to $53.9m at June 30, 2023; this included $47.9m of unrestricted cash and $6.0m of restricted cash. Current assets were $110.7m and current liabilities $29.2m.

At June 30, principal debt was $153.5m ($148.3m net of financing costs), down from $171.0m at year-end 2022. The company had $207.0m of undrawn revolver availability, reporting total liquidity of $260.9m. It reported compliance with credit facility financial covenants and no mandatory debt repayments until 2026. A voluntary $8.75m repayment followed on July 3.

The company declared dividends of $0.65 per share during the first half (as reflected in equity statements). It announced a further $0.15-per-share quarterly dividend on August 4, expected to total approximately $6.5m.

Material changes versus the prior comparable period

  • Revenue fell 34.3% in Q2 and 32.5% in the first half. Management attributed the decline principally to lower freight rates.
  • Fleet-average TCE fell 45.9% in Q2 to $15,556 per day and 44.0% in the first half to $14,757 per day. Minor-bulk TCE fell more sharply than major-bulk TCE.
  • Net income attributable to Genco fell 75.6% in Q2 and 84.1% in the first half; diluted EPS declined to $0.27 and $0.33, respectively.
  • Operating cash flow decreased from $99.2m to $38.9m in the first half, primarily due to lower vessel rates and working-capital movements.
  • Daily vessel operating expense declined to $5,641 in Q2 from $7,358 and to $5,899 in the first half from $7,100. Management cited lower COVID-related costs, stores and spare parts, and repairs and maintenance.
  • Interest rates increased: the reported effective rate was 8.39% in Q2 versus 3.96% a year earlier. Lower debt and interest-rate-cap settlements partly offset higher rates.

Outlook, commentary and risks

  • Management said spot freight rates remained volatile as China’s reopening recovery slowed, demand in developed markets softened, and port congestion eased. It reported that fleet TCE rates had been lower in Q3 to date than in Q2; this is a filing-date observation, not formal earnings guidance.
  • Management believes available resources can fund operations for at least 12 months if drybulk rates do not decline significantly. It cited a roughly $22m minimum liquidity requirement under the facility and planned drydocking and fuel-efficiency expenditures of $5.6m for the remainder of 2023 and $23.4m in 2024.
  • The dividend formula deducts debt repayments, drydocking capital expenditures and reserves from defined operating cash flow. Dividend declarations remain subject to the board’s discretion, legal and credit-agreement restrictions, cash needs and market conditions; future dividends could be reduced, suspended or ended.
  • Russia exited the Black Sea Grain Initiative in July 2023. Management said the implications for grain shipments and drybulk markets remain unpredictable and could adversely affect results and dividends, particularly if the war continues or escalates.
  • The company transitioned its floating-rate facility from LIBOR to SOFR effective June 30, 2023. A 1% rate increase was estimated to add $0.8m to first-half interest expense. Interest-rate caps had $150m total notional and were due to expire in December 2023 and March 2024.
  • Carrying values exceeded covenant-purpose vessel valuations for 15 Capesize vessels by $100.5m in aggregate, but the company reported no impairment after assessing anticipated undiscounted cash flows. Vessel-value declines could nevertheless pressure the facility’s collateral covenant, which requires collateral value of at least 140% of outstanding principal.
  • A sub-charterer’s claim related to alleged cargo loading delays and short loading led to the Genco Constellation’s arrest in Ghana; the vessel was released at the end of February 2023. Genco says the claims lack merit, is defending them and pursuing arbitration and recovery of losses. The filing does not provide a clear value for any related loss accrual.
  • The $5.643m restricted proceeds from the 2021 sale of the Genco Provence remained subject to an extension allowing use for a qualifying replacement vessel until October 28, 2023; otherwise, they may need to be applied to loan prepayment.
  • The filing reported no vessel impairment, no material off-balance-sheet arrangements, effective disclosure controls and no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  1. Subsequent quarterly operating performance and realized charter rates, given lower Q3-to-date TCE commentary and the fleet’s short-term, spot-oriented deployment.
  2. Liquidity, cash generation, planned drydocking and upgrade spending, and the board’s dividend decisions under the payout formula.
  3. Floating-rate debt costs, interest-cap coverage and expirations, and continued compliance with financial and collateral maintenance covenants.
  4. Drybulk vessel valuations and market conditions, particularly the gap between carrying values and covenant-purpose valuations for Capesize vessels.
  5. Developments in the Ghana vessel-arrest dispute, including any financial exposure or recovery, and the use or repayment of the restricted Genco Provence proceeds by the October deadline.
