Changes versus the prior comparable period
- IFRS revenue increased about 9%; the non-IFRS combined measure of revenue and option proceeds increased about 11%.
- Net loss narrowed by $4.637 million, primarily because acquisition-related consulting and professional costs were substantially lower than in the prior-year quarter. The prior period included $3.0 million of one-time consulting costs related to corporate development and acquisitions.
- Operating cash use improved from $8.060 million to $4.530 million, although the current-period figure included a $3.043 million cash outflow from lower accounts payable and accrued liabilities.
- Cash, short-term investments and working capital declined from September 30, 2022, to December 31, 2022: combined cash and investments fell from $14.247 million to $9.687 million, and working capital from $9.746 million to $7.559 million.
Outlook, developments and risks
- Management forecast 2023 Total Revenue and Option Proceeds of $5.5–$6.5 million and recurring cash operating expenses of $7–$8 million. It expected net free cash flow in 2024 as Côté and Odyssey ramp up. These forecasts depend on operator production plans, gold prices assumed at $1,700–$2,000 per ounce, and expected option payments.
- In February 2023, the credit facility was expanded: a $20 million revolving facility plus a conditional $15 million accordion, for up to $35 million. The Company reported $10 million drawn as of the report date. Management cited approximately $35 million of available liquidity, including the conditional accordion; availability is subject to conditions and covenants.
- Odyssey production was expected to begin in March 2023, and Côté was reported approximately 73% complete at December 31, 2022, with production expected in early 2024. These are operator expectations, not Company-guaranteed outcomes.
- In March 2023, Jerritt Canyon’s operator temporarily suspended mining and reduced its workforce. The operator’s prior production and cost guidance was no longer reliable. Gold Royalty said Jerritt Canyon represented less than 2% of portfolio NAV based on consensus estimates; it tested the royalty for impairment as of December 31 and recorded no impairment.
- Other material risks include dependence on third-party operators, production and development delays, commodity-price volatility, concentration of revenue among a limited number of producing assets, access to future financing, royalty-title and enforcement risks, and uncertainty in operator reserve/resource estimates. Management reported no material legal proceedings, no defaults or off-balance-sheet arrangements, and effective disclosure controls and internal controls over financial reporting; the filing includes no auditor attestation on internal controls.
