Segments and material changes

  • Software: Revenue of $5.899 billion, up 5.5% reported (5.9% adjusted for currency); segment profit was $1.500 billion, up 8.8%. Hybrid Platform & Solutions grew 6.5%, and Transaction Processing grew 3.4%. Hybrid Platform & Solutions annual recurring revenue was $13.9 billion; IBM notes this metric is not a measure of revenue expected in future periods.
  • Consulting: Revenue of $5.186 billion, down 0.2% reported but up 1.7% adjusted for currency; segment profit was $424 million, down 0.6%. Management cited longer backlog duration and reduced near-term revenue realization as clients tightened discretionary spending. Signings rose 2.4% reported; trailing-twelve-month book-to-bill remained above 1.15.
  • Infrastructure: Revenue of $3.076 billion, down 0.7% reported but up 0.2% adjusted for currency; segment profit was $311 million, up 1.4%. Hybrid Infrastructure grew 5.5%, offset by an 8.3% decline in Infrastructure Support, reflecting product-cycle dynamics.
  • Financing: Revenue was $193 million, down 1.6%; segment profit was $92 million, down 8.4%, primarily due to settlements on non-accrual assets in the prior-year period.

GAAP results included approximately $375 million of workforce rebalancing charges and a $241 million pre-tax gain on the sale of The Weather Company assets. The divestiture closed January 31, 2024; IBM received $750 million cash proceeds and provided $100 million of seller financing. Excluding specified items, operating non-GAAP earnings were $1.564 billion versus $1.249 billion a year earlier. The unusually favorable GAAP tax comparison materially increased reported earnings growth.

Liquidity, debt and capital allocation

IBM issued $5.486 billion of debt in Q1 and paid $2.106 billion to settle debt. Long-term debt was $54.033 billion at quarter-end; short-term debt was $5.471 billion. IBM reported no borrowings under its $10 billion revolving credit facilities and stated that it was in compliance with debt covenants. Its long-term debt ratings were A- (S&P), A3 (Moody’s) and A- (Fitch), unchanged from year-end. Q1 cash dividends were $1.522 billion; IBM reported no shares repurchased under its public repurchase program during the quarter.

Outlook, commentary and risks

  • Management expects clients to move from AI experimentation toward deployment at scale in 2024 and described IBM’s watsonx, hybrid cloud, consulting and infrastructure offerings as positioned to support that demand. The filing does not provide a specific full-year revenue or EPS forecast.
  • IBM expects 2024 contributions to retirement-related plans of approximately $1.5 billion, and pre-tax retirement-related plan cost of approximately $1.5 billion. It expects operating plan cost of about $1.1 billion and non-operating cost of about $0.4 billion.
  • Management cited macroeconomic, geopolitical, interest-rate and currency uncertainty, client spending constraints, and the possibility that currency movements will affect revenue, profit and cash flow. Currency translation and hedging negatively affected year-over-year pre-tax income growth in Q1 by approximately $200 million, according to the company.
  • IBM completed three Q1 acquisitions at an aggregate cost of $255 million. Its planned acquisition of StreamSets and webMethods from Software AG, for approximately €2.13 billion, was expected to close around mid-2024 subject to customary conditions. On April 24, 2024, IBM announced an agreement to acquire HashiCorp for approximately $6.4 billion in enterprise value, with closing expected by year-end 2024 subject to approvals.
  • Legal and tax matters include IBM’s pending appeal in the BMC litigation, where a trial court awarded $718 million in direct damages and $718 million in punitive damages, plus interest and fees; IBM said it does not believe it has material exposure and recorded no related material liability. IBM is also pursuing claims against GlobalFoundries seeking more than $1.5 billion. The company disclosed potential IRS adjustments to taxable income of approximately $4.2 billion for 2013 and $1.2 billion for 2015, which it disputes; these amounts are proposed taxable-income adjustments, not stated tax liabilities. Potential Brazilian non-income tax matters were approximately $400 million, which IBM said it does not consider a meaningful indicator of liability.
  • On April 30, 2024, the board approved an increase in the quarterly dividend to $1.67 per share, payable June 10, 2024 to holders of record May 10, 2024.

Important facts for investors to verify

  • Reconcile the filing’s constant-currency revenue growth references: 2.5% in a table versus 3% in narrative discussion.
  • Assess how much of the GAAP earnings increase reflects the $502 million tax benefit and the Weather Company divestiture gain, versus underlying operating performance.
  • Track Consulting backlog conversion and client spending, Infrastructure Support declines, and the durability of Software growth and recurring revenue.
  • Monitor debt growth, interest expense, upcoming maturities, liquidity, and the funding and integration requirements of announced acquisitions.
  • Review developments in the BMC appeal, IRS examinations and other disclosed legal, tax, credit and currency exposures.
  • Consider that management’s outlook is qualitative; the filing does not provide a specific full-year revenue or EPS forecast, and interim results may not indicate full-year performance.
