Liquidity, debt, and capital allocation
At September 30, cash and cash equivalents were $680.7M, total borrowings were $1,200.1M ($1,191.1M net of issuance costs and discounts), and shareholders’ equity was $2,802.8M. The company reported compliance with debt covenants; its covenant leverage ratio was 1.35:1 against a 3.50:1 maximum.
All outstanding debt at quarter-end was fixed rate. $100M of 3.20% senior notes mature in June 2023; management expects to refinance or repay them using the revolver. Nine-month financing uses included $146.8M of share repurchases and $132.2M of dividends.
Material changes and unusual items
- Q3 reported results included a $34.8M pretax gain on the September sale of Knight for $49.4M net proceeds. The transaction also generated $5.5M of income tax expense. This gain materially lifted reported net income and EPS; Q3 adjusted net income was $161.9M and adjusted diluted EPS was $2.14.
- A customer discontinued investment in a COVID-19 testing application. IDEX recognized $17.9M of previously deferred revenue in sales and recorded a related $16.8M asset impairment in restructuring expenses. The customer-funded project’s earlier investment was $28.7M. These items affect the comparability of reported growth and margins.
- Q3 segment sales and operating income were: FMT $307.6M and $94.5M; HST $345.0M and $85.6M; FSDP $172.4M and $43.6M. For the first nine months, FSDP operating income declined 2% and its margin fell 200 basis points, while FMT and HST operating income increased.
- The company acquired Nexsight and KZValve in 2022 for $112.5M and $120.1M, respectively, funded with cash on hand. It agreed to acquire Muon Group for €700M, subject to approvals and customary closing conditions, with closing expected by year-end 2022. Management expected to fund the purchase with $350M cash, $150M revolver borrowings, and $200M new debt.
- Accumulated other comprehensive loss increased to $264.1M from $69.6M at December 31, 2021, primarily reflecting a $196.3M cumulative foreign-currency translation loss for the first nine months.
Outlook, commentary, and risks
Management described demand as robust, reported record sales for the first nine months, and cited pricing, volume leverage, and execution as supports for margin and EPS growth. It also noted material-availability and logistics challenges. The supplied filing text refers to full-year 2022 outlook but does not provide clear numerical guidance for sales or EPS.
Key stated risks include inflation and pricing pressure, supply-chain and labor constraints, foreign-exchange movements, industrial demand and customer capital spending, geopolitical and economic uncertainty, interest rates, and the ability to integrate acquisitions. The company said current cash, operating cash flow, and revolver capacity should cover foreseeable requirements. Ordinary-course legal matters and asbestos-related claims were disclosed; management did not expect them to have a material adverse effect. The filing reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
