Liquidity, debt and balance sheet

  • At March 31, cash and cash equivalents were $1.97 million; current assets were $12.06 million and current liabilities were $11.33 million. Management reported net working capital of $732,000.
  • Inuvo had drawn $592,868 on its $5 million receivables-based credit facility. The facility bears interest at 1.75% above prime, is due on demand, and includes covenants and potential early-repayment exit fees.
  • Total assets were $30.16 million, compared with $35.56 million at December 31, 2022. Stockholders’ equity was $18.65 million, down from $21.75 million. Accumulated deficit was $160.5 million.
  • Accounts receivable was $9.12 million, down from $11.12 million. The filing reports no material off-balance-sheet arrangements.

Material changes and management commentary

  • Management attributed the revenue decline to losing a Direct customer and softer advertising placements across the market. Direct-customer revenue fell to $3.92 million from $10.73 million; Indirect-customer revenue was $7.91 million, slightly above the prior-year $7.84 million.
  • Gross margin improved because a larger share of revenue came from Indirect customers, which typically carry higher margins. Despite the margin improvement, lower revenue and essentially flat operating costs contributed to a wider operating and net loss.
  • Three customers generated 66.3% of Q1 revenue (26.4%, 25.3% and 14.6%). Management noted that customer losses or delayed payments could materially harm results.
  • Management is concentrating resources on multi-channel advertising and IntentKey, with the goal of returning to positive operating cash flow. It cautioned that this outcome is not assured and gave no specific revenue or earnings guidance.
  • Management believes cash and the credit facility will support operations for at least 12 months from the filing date, while warning that the demand feature limits certainty of borrowing availability. If IntentKey growth plans are unsuccessful, additional securities, debt financing or partnering/licensing may be needed over the longer term.

Risks, contingencies and other items

  • Cash declined by $961,832 during the quarter. Operating cash use included a $2.54 million decrease in accounts payable, partly offset by a $2.04 million decrease in accounts receivable. Management noted that some Direct customers may require payment terms of 120 days or longer.
  • The company has recurring losses and operating cash outflows, substantial customer concentration, and dependence on advertising suppliers and profitable traffic acquisition. Its stated risk factors also include economic and advertising-market conditions, privacy and data-security regulation, technology changes, and NYSE American listing compliance.
  • Deferred tax assets were $39.1 million, with a $38.0 million valuation allowance because management believes essentially none are likely to be realized.
  • The company reported no legal proceedings and no material changes to internal control over financial reporting; management concluded disclosure controls were effective as of quarter-end.

Important facts for investors to verify

  • Whether revenue stabilizes after the loss of a Direct customer and whether the three largest customers maintain spending and pay on time.
  • Cash burn, working-capital needs and availability of the receivables-based credit line, particularly because borrowings are due on demand.
  • Whether the higher gross margin and IntentKey-focused strategy can translate into improved operating results and positive operating cash flow.
  • Potential dilution: common shares outstanding were 121,640,362 at quarter-end and 121,641,455 on April 28, 2023; 3,130,015 RSUs remained outstanding at March 31.
