Storage rental revenue increased 4.9% in the second quarter and 5.5% year to date. Service revenue increased 33.6% and 33.3%, respectively, including significant contribution from the ITRenew acquisition. On a constant-currency basis, total revenue increased 18.5% in the quarter and 17.9% year to date; reported growth was reduced by foreign-exchange effects.
Six-month operating cash flow was $345.9 million, compared with $389.2 million in 2021. Cash capital expenditures were $330.2 million, acquisition spending was $718.7 million, and cash dividends were $364.2 million. Ending cash and cash equivalents were $144.7 million, compared with $255.8 million at December 31, 2021.
Total debt was $10.170 billion gross, or $10.080 billion carrying value, at June 30, 2022. Long-term debt, net of current maturities, was $9.993 billion. The company had $1.668 billion of remaining availability under its revolving credit facility, subject to applicable limitations, and $37.3 million of outstanding letters of credit.
Material changes versus the prior comparable period
- Revenue growth was driven by organic storage rental and service growth, higher data center activity, revenue management and the ITRenew acquisition.
- ITRenew was acquired on January 25, 2022 for a net purchase price of approximately $718.1 million. Iron Mountain acquired approximately 80% of the business and consolidates 100% of its revenues and expenses. The transaction generated $124.4 million of year-to-date service revenue.
- Cost of sales increased 19.1% year to date, faster than revenue, partly because of ITRenew product costs, higher labor, facilities and utilities expenses, and sale-leaseback-related rent expense.
- Adjusted EBITDA increased, but margins declined because of the lower-margin ITRenew business, partially offset by Project Summit benefits, revenue management and cost containment.
- Net income declined primarily because the 2021 period benefited from a $181.2 million gain on the IPM divestment and larger real estate sale-leaseback gains. The 2022 period included a $105.8 million loss from deconsolidating certain OSG businesses, partially offset by a $35.8 million Clutter transaction gain.
- Project Summit was completed as of December 31, 2021; accordingly, no restructuring charges were recorded in 2022 versus $79.3 million in the first six months of 2021.
- Foreign-currency translation reduced comprehensive income by $160.3 million year to date, while derivative fair-value changes contributed $51.0 million.
Guidance, outlook, commentary and risks
Management expects total revenue and Adjusted EBITDA growth to accelerate in 2022, supported by new products and services, innovation, customer solutions and market expansion. Organic storage rental growth is expected to benefit from revenue management, with relatively stable volume. Organic service revenue is expected to benefit from digital offerings and traditional services.
Management expects a stronger U.S. dollar to create headwinds for reported revenue and Adjusted EBITDA growth through the remainder of 2022 and into 2023. The company expects approximately $950.0 million of 2022 capital expenditures, excluding potential future acquisitions, including approximately $800.0 million of growth investment and approximately $155.0 million of recurring capital expenditures. Approximately $625.0 million is expected to relate to Global Data Center development.
On March 18, 2022, the company extended the revolving facility and Term Loan A maturity to March 2027, increased revolving capacity to $2.250 billion and increased the maximum net total lease-adjusted leverage ratio to 7.0x. At June 30, 2022, the ratio was 5.3x versus the 7.0x maximum, and fixed-charge coverage was 2.5x versus the 1.5x minimum. The company reported compliance with its debt covenants.
On June 29, 2022, the accounts receivable securitization program was amended to increase capacity to $325.0 million, with an option to increase it to $400.0 million, change pricing to SOFR plus 0.95% with a 0.10% credit spread adjustment, and extend maturity to July 2025. The company also maintains interest-rate and cross-currency hedges.
Principal risks include substantial leverage and refinancing requirements, interest-rate and foreign-exchange exposure, the ability to fund capital expenditures and dividends, acquisition integration and ITRenew contingent purchase obligations, cybersecurity and data privacy, service interruptions and data center power costs, climate and geopolitical events, regulatory compliance and maintaining REIT qualification. The company estimates that aggregate litigation losses could exceed amounts accrued by up to $23.0 million over the next several years, with some amounts potentially covered by insurance or indemnity arrangements.
Important facts for investors to verify
- Reconcile reported net income and EPS with Adjusted EBITDA, Adjusted EPS and Normalized FFO, particularly the effects of acquisition costs, foreign exchange, deconsolidation losses and asset-sale gains.
- Assess leverage, floating-rate debt exposure, maturity schedules, covenant headroom and the availability of refinancing under changing interest-rate conditions.
- Evaluate whether ITRenew can achieve the performance targets underlying the $275.1 million estimated deferred purchase obligation, which could range from $200.0 million to $531.0 million.
- Monitor the execution and returns from approximately $950.0 million of planned 2022 capital expenditures, especially data center development spending.
- Determine whether revenue growth and margin trends remain durable after separating organic growth, acquisitions, foreign-exchange effects and pass-through power costs.
- Review the impact of ongoing sale-leaseback activity on liquidity, rent expense, asset ownership and long-term operating costs.
- Confirm continued compliance with REIT requirements, debt covenants, cybersecurity obligations and material litigation or contingency developments.
