Material changes and management commentary

  • Research contract value reached $1.603 billion, up 13% reported (14% excluding FX). Enterprise client retention improved to 85% from 83%; wallet retention rose to 106% from 104%.
  • Consulting utilization improved to 68% from 64%, but backlog fell 3% to $102.6 million.
  • Events attendance increased 9% to 49,047 despite fewer events (61 versus 64); segment contribution margin improved.
  • Operating expenses rose with hiring and investment. Acquisition and integration charges were $21.9 million, compared with $0.3 million in 2013; management cited these charges and higher taxes among factors constraining earnings growth.
  • Gartner acquired Software Advice, Market-Visio and SircleIT. Net cash paid for acquisitions was $109.9 million; acquired businesses’ 2014 results were not material to consolidated results.
  • The company repurchased 5.9 million shares for $432.0 million during 2014. The $800 million authorization had $413.3 million remaining at year-end; Gartner paid no cash dividend.

Liquidity, debt, outlook and risks

Gartner refinanced its credit facilities in December 2014 with a five-year $400 million term loan and a $1.1 billion revolving facility, maturing in December 2019. The revolver was undrawn at year-end, leaving approximately $1.1 billion available. The company said cash, operating cash flow and borrowing capacity were adequate for anticipated needs and the foreseeable future. It provided no specific 2015 financial guidance in the filing.

Management highlighted continued investment in research, sales capacity and growth. Principal risks include economic weakness affecting client renewals, consulting demand and events; competition and the need to sustain research quality; dependence on recurring research subscriptions; government contract funding and termination provisions; foreign-exchange movements; cybersecurity, privacy and service disruptions; hiring and retention; acquisition integration; and tax-law changes or audit outcomes. The credit agreement includes financial and other restrictive covenants; Gartner reported compliance at year-end. A 25-basis-point rate change on assumed full $1.5 billion borrowing could change annual pretax interest expense by approximately $3.3 million. Legal proceedings were described as ordinary-course matters not expected to have a material adverse effect. Foreign-currency translation reduced cash by $34.0 million and contributed to a $29.5 million other comprehensive loss.

KPMG issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded controls were effective.

Important facts for investors to verify

  • Whether research contract value, client retention and wallet retention continue to grow, and whether foreign exchange affects reported results.
  • Whether Consulting backlog and Events attendance, pricing and margins improve or weaken in subsequent periods.
  • How acquisition-related costs, acquired-business performance and integration affect margins and cash generation.
  • Debt repayment, covenant headroom, floating-rate exposure and the ongoing scale of share repurchases relative to operating cash flow.
  • Potential tax effects of overseas earnings: $305.0 million of cash was held outside the U.S.; management intended to reinvest foreign earnings, and estimated tax on accumulated undistributed earnings if not indefinitely reinvested was $35.8 million.
