Liquidity, debt and cash flow
- Cash and cash equivalents were $42.2 million at March 29, 2024, compared with $23.7 million at December 31, 2023.
- Working capital was $467.1 million and the current ratio was 3.32.
- Long-term debt, net of discounts and issuance costs, was $1.141 billion, compared with $959.9 million at year-end 2023. The increase primarily reflects borrowings used to fund the Pulse acquisition.
- The $500 million revolving credit facility had $279.0 million outstanding and $217.5 million of available borrowing capacity after outstanding letters of credit. The revolving facility and Term Loan A mature February 15, 2028.
- The company also had $500 million principal amount of 2.125% convertible notes due February 15, 2028. The notes were not eligible for conversion as of March 29, 2024.
- Net cash used in investing activities was $168.2 million, including $139.1 million for acquisitions and $29.1 million of capital expenditures.
- Net cash provided by financing activities was $163.3 million, primarily from $180.0 million of net revolving-credit borrowings.
- The company sold $57.6 million of receivables without recourse during the quarter and used supplier financing arrangements involving $36.3 million of receivables.
Management stated that projected operating cash flow, available cash and revolver capacity are expected to meet working capital, debt service and capital expenditure requirements for the next twelve months. The company was in compliance with its debt covenants; its reported Total Net Leverage Ratio was approximately 2.8:1.0 versus a 5.00:1.00 maximum, and its interest coverage ratio was approximately 8.5:1.0 versus a 2.50:1.00 minimum.
Material changes versus the prior comparable period
- Sales growth was driven by strong Medical demand, new product ramps, emerging neuromodulation customers with PMA products, and acquisitions. Pulse and InNeuroCo contributed $12.7 million to Cardio & Vascular sales; Pulse contributed $10.6 million of total sales since its acquisition.
- On January 5, 2024, Integer acquired Pulse Technologies for preliminary total consideration of $142.3 million, funded with revolver borrowings. The purchase price allocation remains preliminary and includes $64.0 million of definite-lived intangible assets and $38.1 million of goodwill.
- Gross margin improved because of volume leverage, supply-chain efficiencies and acquisition contributions.
- Interest expense declined $2.6 million, primarily because the prior-year period included $4.4 million of debt-extinguishment losses, partly offset by higher average debt outstanding.
- The company recorded a $1.1 million gain on equity investments versus a $0.2 million loss in the prior-year quarter.
- Foreign currency translation produced a $13.4 million loss in other comprehensive income, compared with a $7.9 million gain in the prior-year quarter.
- Inventory increased to $262.9 million from $239.7 million at year-end 2023, while accrued expenses and other current liabilities declined to $70.7 million from $88.1 million.
Outlook, commentary, risks and unusual items
The filing does not provide a clear quantitative revenue, earnings or margin guidance update. Management cited continued demand, new product ramps, customer growth, acquisition contributions, supply-chain improvement and operational efficiency initiatives. It also noted that Non-Medical sales may remain at a normalized level after prior supply-chain-related strength.
- Key risks include customer concentration, pricing pressure, dependence on suppliers and manufacturing operations, labor availability, product quality and regulatory issues, cybersecurity, healthcare cost containment, competition, acquisition integration and the ability to realize intangible-asset values.
- Global economic conditions, inflation, interest rates, military conflicts, currency movements and supply-chain disruptions may affect orders, costs, shipments and borrowing expense.
- The Non-Medical reporting unit had only approximately 11% excess fair value over carrying value at the 2023 annual impairment test. Management identified no triggering event at March 29, 2024, but weaker performance could lead to a future goodwill impairment.
- Pulse includes contingent consideration of up to $20.0 million tied to a 2025 revenue-growth milestone. The related liability had a March 29, 2024 fair value of $3.6 million. InNeuroCo contingent consideration had a fair value of $0.9 million.
- Unrecognized tax benefits were approximately $6.5 million, with a possible reduction of approximately $0.6 million within the next twelve months.
- Management does not expect pending litigation to have a material effect, although it notes the inherent uncertainty of legal proceedings.
- Disclosure controls were determined to be effective, and there were no material changes in internal control over financial reporting.
Important facts for investors to verify
- Whether Medical demand, new product ramps and Pulse integration sustain the reported sales and gross-margin improvement.
- Whether increased debt and floating-rate exposure remain manageable as acquisition-related borrowings mature or interest rates change.
- Whether cash generation, receivables factoring and revolver availability support capital expenditures, acquisition activity and debt service.
- Whether the Non-Medical segment recovers sufficiently to avoid goodwill impairment risk.
- The final purchase accounting for Pulse and any changes to acquisition-related intangible assets, goodwill or contingent consideration.
- The effect of customer concentration, regulatory requirements, supply-chain constraints, foreign exchange and healthcare-industry pricing pressure on future results.
