Quarterly revenue rose 17.6%; six-month revenue rose 12.9%. Growth reflected business initiatives that increased clients on plans and a shift toward higher-priced OPTA VIA products. Active earning coaches increased 19.3% to 36,500 in Q2, while average revenue per active earning coach was nearly flat at $5,851 versus $5,863. OPTA VIA products represented 83% of Q2 consumable units sold, up from 75%.

Gross margin fell 280 basis points in Q2 and 140 basis points year to date, primarily due to promotions and higher production costs. SG&A increased 15.7% in Q2 and 13.6% for the half, largely from higher coach commissions, Schedule 13D-related professional services, and coach incentives. Operating income was nearly flat for Q2 and down 0.8% year to date; six-month net income fell 4.1%. Lower interest income also reduced non-operating income.

Liquidity, cash flow, and capital allocation

At June 30, cash and cash equivalents were $130.8 million, investment securities were $14.6 million, working capital was $84.6 million, and stockholders’ equity was $116.7 million. Cash plus investment securities totaled $145.4 million, versus $92.7 million at December 31, 2019. The balance sheet reports no borrowings; lease obligations totaled $12.0 million, including $3.3 million current.

Six-month operating cash flow was $84.3 million, with the increase over 2019 substantially reflecting changes in operating assets and liabilities, including inventory reduction and higher accounts payable and accrued expenses. Investing activities provided $0.4 million, compared with $4.5 million used in 2019. Financing activities used $30.8 million, including $26.6 million of dividends paid and $5.0 million of share repurchases. The company declared a further $13.4 million dividend, or $1.13 per share, payable in Q3; management said it intended to continue the dividend but gave no assurance.

Outlook, risks, and notable items

  • Outlook: No quantified earnings or revenue guidance is provided. Management said COVID-19 had not materially affected first-half results, and the manufacturing facility remained operational without meaningful supply-chain disruption. Future effects remain uncertain and could depend on outbreak duration, government measures, consumer behavior, and the pace of economic normalization.
  • Recall: A product sold in Q1 and early Q2 contained an undeclared milk allergen. The company completed a voluntary recall of affected lots, notified the FDA, and considered the financial impact immaterial, with no significant future impact expected.
  • Unusual expenses: Q2 included $1.2 million of Schedule 13D filing-related professional services and $0.2 million of CFO-transition severance; first-half amounts were $5.8 million and $1.2 million, respectively. Adjusted results excluding these items are non-GAAP measures.
  • Operations and controls: The new global ERP system was implemented in Q2; management reported no significant resulting control changes and assessed disclosure controls as effective. The filing reported no material change to previously disclosed risk factors.
  • Contingencies: The company described ordinary-course litigation and said it did not expect a material adverse effect, while noting outcomes cannot be predicted with certainty. The filing text does not provide a clear quantified estimate of potential exposure.
