Segment performance, Q2: Piping Systems sales were $824.8 million and operating income $211.6 million; Industrial Metals sales were $179.2 million and operating income $24.2 million; Climate sales were $164.5 million and operating income $50.7 million. Cash flow, liquidity, and capital
- First-half operating cash flow was $204.5 million, versus $9.3 million a year earlier. Net income drove cash generation, partly offset by increases in receivables of $146.4 million and inventory of $49.4 million.
- Cash and cash equivalents were $202.5 million at June 25, 2022; cash, cash equivalents, and restricted cash totaled $217.3 million. The current ratio was 3.2 to 1.
- Total debt was approximately $2.2 million, or 0.1% of total capitalization. No borrowings were outstanding under the $400 million revolving credit facility; $367.4 million was available to draw. The facility matures March 31, 2026, and the company reported compliance with debt covenants.
- First-half capital expenditures were $23.2 million. The company repurchased $33.5 million of shares and paid $28.0 million in dividends; dividends were $0.25 per share in each 2022 quarter.
Changes, outlook, and key risks
- Management attributed sales growth primarily to higher core-product prices—especially copper tube and brass rod—and growth in non-core products. Acquired Mueller Middle East also contributed. Dispositions of Copper Bar, Die-Mold, FTP, and STI partly offset growth.
- Management said strong demand, inflation, and industry supply constraints supported higher selling prices and improved margins; price management helped offset increases in wages, materials, energy, freight, and distribution costs. It also cited lower core unit volumes.
- No specific earnings or revenue guidance is provided. Management expects cash from operations, available credit, and cash on hand to meet liquidity needs. It estimated approximately $5.2 million of environmental remediation spending over the next 12 months.
- Key exposures include copper and other raw-material prices and availability, energy costs, foreign exchange, housing and commercial construction demand, competition and substitute products, and economic conditions. The filing notes copper futures to purchase about $90.5 million over 15 months and to sell about $27.0 million over nine months; these positions carry fair-value and hedge-accounting effects.
- Environmental matters include a $16.3 million balance-sheet reserve and several site-related proceedings. The company said potential additional losses at the Lead Refinery site and Bonita Peak Mining District could not be estimated; it also cannot estimate potential antidumping-duty liability in a separate customs dispute. Letters of credit and other guarantees could require payments of up to $32.6 million.
- Unusual items included a $5.5 million first-half gain on sale of a building and a benefit-plan curtailment gain. The prior-year period included a $5.7 million debt-redemption premium. First-half 2022 comprehensive income also included a $15.9 million foreign-currency translation loss.
Most important facts for investors to verify
- How much of the sharp margin and earnings improvement reflects sustainable pricing and product mix versus inflationary conditions, and whether lower core volumes continue.
- Working-capital demands: receivables and inventories absorbed substantial cash despite strong first-half operating cash flow.
- Potential environmental and legal exposure beyond recorded reserves, particularly at Lead Refinery and Bonita Peak.
- The remaining share-repurchase authorization and reported cumulative repurchases: the filing gives inconsistent cumulative figures of approximately 7.2 million shares in MD&A and 6.6 million in the issuer-purchase disclosure.
- Future effects of commodity hedges, foreign currency movements, and changes in construction and HVAC demand.
