MOGU Inc. annual report, Q4 FY2023

MOGU Inc. — FY2023 Form 20-F Summary

Reporting period: Fiscal year ended March 31, 2023. The request identifies “2022 Q4,” but this filing is an annual report, not a standalone quarterly filing; it reports full-year results and comparable fiscal years. Financial statements are prepared under U.S. GAAP. Amounts below are in RMB unless stated otherwise.

Business context

MOGU operates a China-focused, KOL-driven fashion and lifestyle platform, monetized through commissions, marketing, financing and technology services. It also provides customized online operating and branding solutions, including through Ruisha Technology, acquired in 2021. The company uses PRC variable-interest entities (VIEs) for certain operations; investors own shares in the Cayman Islands holding company, not equity in the VIEs.

Including restricted cash, year-end cash was RMB417.0 million. Cash, restricted cash and short-term investments together were approximately RMB562.8 million, versus RMB636.3 million a year earlier. Management said liquidity was sufficient for anticipated working capital needs and capital expenditures for at least 12 months. Net loss attributable to MOGU Inc. was RMB178.0 million; loss per ADS was RMB20.90 (US$3.04).

Revenue mix shifted further toward technology services: technology revenue grew 27.8% to RMB58.9 million, while commissions fell 34.9% to RMB147.5 million, marketing services fell 75.3% to RMB4.4 million, and financing solutions fell 59.4% to RMB12.9 million. Total GMV declined to RMB6.1 billion from RMB10.7 billion; live-video GMV was RMB5.9 billion versus RMB9.8 billion. Active buyers through live video fell to 1.6 million from 3.0 million, and established hosts fell to 165 from 240. The top 10 KOLs generated 75.7% of GMV, up from 57.3%.

Cost of revenue, excluding separately reported intangible-asset amortization, was RMB113.9 million, implying gross profit of approximately RMB118.2 million and a gross margin of about 50.9%, compared with approximately 52.7% in FY2022. The operating loss narrowed primarily because amortization and impairment charges declined, not because revenue recovered. FY2023 included RMB84.7 million of goodwill and intangible-asset impairment; goodwill was fully impaired and had a nil balance at year-end.

Operating, investing and financing cash flows were respectively negative RMB10.1 million, positive RMB0.6 million and negative RMB12.1 million. The company reported no short-term borrowings at year-end, compared with RMB10.1 million a year earlier; lease liabilities were RMB3.4 million in total. Total liabilities were RMB314.8 million and shareholders’ equity was RMB671.4 million. Capital expenditures were RMB55.5 million. The Hangzhou office building was completed and transferred to property and equipment; RMB10.45 million remained payable in FY2024.

Changes, outlook and material risks

  • Revenue continued a multi-year decline: down 30.0% in FY2022 and 31.2% in FY2023. Management cited competition, lower GMV and COVID-related disruption as factors in FY2023’s revenue decline.
  • Expense reductions and lower non-cash charges helped reduce the reported loss. The filing provides no formal revenue, earnings or margin guidance. Management cautions that revenue may continue to decline and profitability is uncertain.
  • Founder and chairman Qi Chen resigned as CEO effective March 17, 2023; Yiming Fan is serving as CEO. The filing reports no cash dividends paid and no present plan to pay them in the foreseeable future.
  • Management concluded disclosure controls and internal control over financial reporting were ineffective at March 31, 2023 because of an unremediated material weakness involving insufficient personnel with appropriate U.S. GAAP and SEC-reporting expertise. The auditor did not attest to internal control effectiveness.
  • Key structural and regulatory risks include enforceability of VIE contracts, PRC oversight and evolving data, cybersecurity, internet and overseas-listing rules, and restrictions on moving cash from China. The company said existing-issuer CSRC filing was not immediately required under the new regime, but future overseas offerings would require filing. PCAOB access was restored in 2022; continued access is not assured.
  • Other exposures include reliance on a small number of KOLs, competitive pressure, foreign-exchange changes, and impairment risk. The filing reports an RMB6.7 million tax reserve relating to an uncertain tax position following a tax examination. It also adopted the new lease accounting standard in FY2023.

Important facts for investors to verify

  • Whether falling GMV, active buyers and host counts have stabilized, and whether technology-services growth can offset declines in core platform revenue.
  • Cash availability and transferability across the parent, PRC subsidiaries and VIEs; the filing reports substantial restrictions on PRC subsidiary net assets and no dividends to the parent in the years presented.
  • Progress in remediating the material weakness and improving financial-reporting controls.
  • VIE contract enforceability, required licenses and future CSRC filing or cybersecurity-review obligations.
  • The basis and scope of reported VIE revenue contribution: the filing presents different percentages in different disclosures, so the precise comparable measure is not clear from the filing text.
