Cost of products sold was 56.7% of sales, down from 60.1%; management attributed the improvement to pricing, lower manufacturing costs, product mix and the absence of $2.3 million of prior-year acquisition inventory charges. SG&A rose 6% to $77.1 million, while R&D fell 12% to $9.3 million. There were no restructuring charges, compared with $3.1 million in Q1 2011. Currency exchange losses increased to $2.4 million from $0.7 million.

Segments and material changes

  • North America: Sales of $137.5 million, up 5%; demand in oil and gas and other industrial markets supported higher instrument shipments, partly offset by lower military helmet and vest sales. Segment net income rose 65% to $16.3 million.
  • Europe: Sales of $72.5 million, up 12% reported; local-currency sales increased $10.3 million, partly offset by $2.6 million of adverse currency translation. Net income increased to $5.6 million from $1.6 million, aided by sales, margins, cost control and no restructuring charges.
  • International: Sales of $83.5 million, up 3% reported; local-currency sales grew $5.3 million, offset by $2.5 million of adverse translation. Net income increased 12% to $8.3 million.

Comprehensive income attributable to MSA was $32.9 million, including a $9.4 million foreign currency translation gain. Operating cash flow improved despite higher receivables and inventory; cash declined $3.3 million overall after $30.3 million of financing cash outflows. MSA paid down $21.0 million of debt, paid $9.6 million in dividends and spent $2.3 million on company stock purchases.

Liquidity, outlook and risks

Management identifies operating cash flow, supplemented by borrowings, as its main liquidity sources. Long-term debt includes fixed- and variable-rate borrowings; the revolving credit facility is due in 2016, and fixed-rate debt matures through 2021. The filing gives no specific earnings or revenue guidance. MSA expected approximately $4.1 million of pension contributions for 2012.

Management cited economic and market conditions, government spending, competition, product liability claims and insurance collections, new products, foreign exchange, acquisitions and international operations as risks. A hypothetical 10% U.S. dollar strengthening or weakening would, respectively, decrease or increase reported quarterly sales by approximately $15.6 million and net income by approximately $1.4 million.

MSA was named in 2,418 cumulative-trauma lawsuits involving alleged silica, asbestos or coal-dust exposure. The company says it cannot estimate potential losses or a range of losses and records such claims when loss becomes probable and estimable. It reported $114.1 million of related insurance receivables and said recoverability and timing depend partly on insurer disputes and litigation. Insurance coverage cases were in discovery; a Delaware case stay was lifted in March 2012. The company stated that, based on available information and coverage, pending claims were not expected to have a material adverse effect, but noted that unfavorable developments could materially affect quarterly results. Single-incident product liability reserves were $4.7 million.

Assets held for sale related to the North American ballistic helmet business and German detector-tube manufacturing totaled $10.0 million; management did not expect the sale impact to be material to net income or EPS. Unrecognized tax benefits were $12.8 million gross, with $11.4 million of associated tax benefits recognized; MSA did not expect a significant change within 12 months.

Important facts for investors to verify

  • Whether stronger gross margins and earnings persist, particularly given the contribution from pricing, product mix and lower manufacturing costs.
  • Receivables and inventory growth, working-capital needs, and continued operating cash generation.
  • Debt repayment, borrowing costs, revolving-facility availability and cash levels.
  • Collection and timing of the $114.1 million insurance receivable, related coverage litigation and cumulative-trauma claim developments.
  • Foreign-exchange exposure and performance across segments, especially currency effects and military-market demand.
  • Progress and final proceeds from the assets held for sale; the filing provides no numerical earnings guidance.
