  • Q3 sales rose 7% in U.S. dollars and 6% in local currencies; net earnings increased about 25%. Nine-month sales declined 1% in U.S. dollars and were flat in local currencies, while net earnings rose about 5%.
  • Q3 operating performance benefited from higher sales volume, favorable price realization, temporary cost savings and material-cost reductions. These benefits were partly offset by higher transportation costs and unfavorable business mix. Product gross margin declined to 59.7% from 60.2%; service gross margin improved to 52.7% from 48.9%.
  • Nine-month operating cash flow was $473.8 million, versus $401.7 million. Capital expenditures were $57.4 million, versus $71.6 million; operating cash flow less capital expenditures was approximately $416.4 million, versus $330.1 million.
  • At September 30, cash and equivalents were $153.7 million; total debt was $1,224.2 million, including $55.1 million current and $1,169.1 million long-term. The company reported $700.7 million of additional borrowing availability under its credit agreement and compliance with debt covenants. Current assets were $1,046.3 million and current liabilities $764.1 million.
  • During the first nine months, the company repurchased $400.0 million of stock (475,530 shares), compared with $558.7 million in the prior-year period. Shares outstanding at September 30 were 23.8 million.

Material changes and operating trends

  • Q3 demand improved in most businesses and regions, with particularly strong growth in China and laboratory-related products. China external-customer sales increased 16% in U.S. dollars; the company cited 17% local-currency growth in China overall.
  • Laboratory sales rose 11% in U.S. dollars in Q3 and 2% for the nine-month period. Industrial sales increased 2% in Q3 but fell 3% year to date; retail sales increased 8% in Q3 but fell 7% year to date.
  • For the first nine months, COVID-19-related lower customer demand weighed on sales across regions. Nine-month segment profit increased overall to $547.9 million from $521.8 million, but Chinese Operations’ segment profit declined 4% in U.S. dollars.
  • Amortization increased to $42.0 million for the nine months from $36.9 million; interest expense increased to $29.1 million from $27.8 million. Restructuring charges declined to $7.3 million from $11.1 million.

Outlook, risks and unusual items

  • The filing provides no specific full-year revenue or earnings guidance. Management said it remained cautious: the pandemic and global economic uncertainty could reduce customer demand in future quarters, and the effects on results and financial condition could be material.
  • Management said production and logistics facilities were operating, supply-chain interruption was minimal, and the company was supporting customers through on-site and remote service. Temporary cost measures included reduced work hours, salary freezes and voluntary senior-leadership salary reductions.
  • The board authorized an additional $2.5 billion for the share repurchase program in November 2020, after quarter-end. The filing reported $933.4 million of remaining program availability at September 30, before that authorization.
  • Currency movements remain a risk. The company estimated that a 1% strengthening of the Swiss franc against the euro could reduce annual pretax earnings by about $1.6–$1.8 million; a 1% weakening of the renminbi against the U.S. dollar could reduce them by about $1.8–$2.0 million.
  • Restructuring charges were $4.6 million in Q3 and $7.3 million year to date, primarily employee-related. Management did not expect pending legal proceedings, including environmental matters, to have a material adverse effect. No material legal proceedings were listed in Part II.

Important facts for investors to verify

  • Whether the Q3 demand recovery continued, particularly in China and laboratory products, and how COVID-19 affected subsequent-period sales and customer collections.
  • Whether margin improvement from pricing, cost controls and material savings was sustainable, given transportation costs and product mix.
  • Debt, available credit and cash generation relative to planned repurchases, potential acquisitions and expected $10–$15 million of net manufacturing-facility investments over the next two years.
  • The size and timing of future repurchases following the November authorization, and the effect on share count and liquidity.
  • Foreign-exchange exposure, debt currency effects, and the reported derivative liabilities of $18.7 million at quarter-end.
