MINERALS TECHNOLOGIES INC quarterly report, Q1 FY2023

Business context and reporting period

Minerals Technologies Inc. (MTI) is a global specialty minerals company serving consumer and industrial markets. This unaudited Form 10-Q covers the three months ended April 2, 2023, compared with the three months ended April 3, 2022. Effective January 1, 2023, MTI reorganized its reporting into Consumer & Specialties and Engineered Solutions; prior-period comparisons are presented using the new segments.

Financial results

  • Revenue: Net sales were $546.1 million, up 5% year over year. Foreign exchange reduced sales by about $14 million (3 percentage points); Concept Pet contributed $7.1 million.
  • Profit and margins: Consolidated operating income was $63.0 million, down 5%, and operating margin was 11.5%, versus 12.8%. Production margin fell to 22.1% from 23.4%. Net income attributable to MTI was $37.0 million versus $44.1 million; diluted EPS was $1.14 versus $1.33. Higher raw-material, energy, and manufacturing costs, weaker foundry conditions in China, and increased interest expense weighed on results.
  • Segments: Consumer & Specialties sales rose 5% to $297.3 million; operating income was $32.2 million versus $31.3 million, with margin of 10.8% versus 11.0%. Engineered Solutions sales rose 6% to $248.8 million; operating income declined 5% to $35.3 million, with margin of 14.2% versus 15.8%. Segment operating income is before acquisition and corporate expenses; consolidated operating income was $63.0 million.
  • Cash flow: Operating cash flow was $33.7 million versus $0.3 million. Capital expenditures were $24.4 million versus $19.0 million; cash dividends paid were $1.6 million. Cash and cash equivalents ended at $249.7 million, up $2.5 million during the quarter.
  • Liquidity and debt: Cash, cash equivalents, and short-term investments totaled $255.9 million. MTI reported more than $400 million of available liquidity, including cash and revolving-credit availability. Balance-sheet debt comprised $118.6 million short-term debt, $14.5 million current maturities, and $924.7 million long-term debt. The $300 million revolving facility had $115.0 million drawn and $10.5 million in letters of credit. The company reported compliance with its debt covenants.
  • Other metrics: Net interest expense rose to $14.2 million from $9.8 million, primarily reflecting higher interest rates. The effective tax rate increased to 22.0% from 20.0%, mainly due to the mix of foreign earnings. The quarterly dividend declared was $0.05 per share.

Material changes and outlook

Sales increased across both segments, but cost of sales grew faster than revenue (7% versus 5%), compressing production and operating margins. U.S. sales grew 7%; international sales grew 3%. Management described first-quarter results as solid and cited strategic growth initiatives, new product development, market expansion, and acquisitions. Its 2023 priorities include expanding pet-care and specialty-additive products, growing engineered and environmental solutions, operational improvements, and selective acquisitions. MTI forecast 2023 capital expenditures of $80 million to $90 million; it did not provide quantified earnings or revenue guidance and cautioned that growth initiatives may not succeed.

Risks, contingencies, and unusual items

  • Talc litigation: MTI reported 460 open asbestos-related cases involving talc products as of April 2, 2023. It recorded $31 million of litigation costs in the third quarter of 2022 for defense, settlements, and reserves. The company says future losses beyond amounts recognized are reasonably possible but cannot estimate their magnitude; certain pre-IPO liabilities are subject to Pfizer indemnification.
  • Interest-rate exposure: MTI said a one-percentage-point interest-rate change, including derivatives, would change annual interest charges by $23 million. Its $150 million interest-rate and cross-currency swaps were due to mature in May 2023.
  • Other risks: Management identified economic and customer cyclicality, input and energy costs, foreign exchange, debt service and covenant compliance, supply and operating risks, regulation, and legal matters among factors that could affect results. The company reported no material COVID-19 impact at the time of filing.
  • Goodwill allocation: Following the segment reorganization, goodwill had not yet been reallocated to the new reporting units; MTI expected to complete the process during 2023.

Important facts for investors to verify

  • Whether pricing and cost actions restore margins, particularly given inflation and weaker foundry conditions in China.
  • How higher interest rates and the May 2023 expiration of the swaps affect interest expense and debt exposure.
  • Developments in talc litigation, including settlements, indemnification coverage, and any changes to the recorded reserve.
  • Progress on the new segment structure, goodwill allocation, and stated growth initiatives and capital-spending plans.
  • Liquidity, debt maturities, and continued compliance with credit-agreement covenants.

The interim financial statements were reviewed by KPMG, which stated it was not aware of material modifications needed for conformity with U.S. GAAP; this review was not an audit.
