- Cash and equivalents fell $66.7 million during the quarter to $4.6 million. Current assets were $202.4 million and current liabilities $105.2 million at January 31.
- Total debt was approximately $1.5 million, with no revolver borrowings at January 31. A new five-year, $150 million unsecured revolver had $81.0 million of availability, limited by covenant calculations; $5.6 million of letters of credit were outstanding. The company reported compliance with its covenants.
- Quanex paid dividends of $0.04 per share. Stockholders’ equity was $415.1 million.
Material changes and operating developments
- Engineered Products: Sales increased 6.7% to $106.1 million and operating income rose to $2.8 million from $1.8 million. Alumco contributed $3.7 million of January sales following its December 31, 2012 acquisition. Organic growth included higher vinyl-profile sales; price compression and higher material and freight costs pressured margins.
- Aluminum Sheet Products: Sales rose 28.8% to $84.6 million; shipments increased 32.8%. The operating loss improved to $4.2 million from $5.5 million, but lower aluminum prices and a shift toward lower-value mill-finished products restrained sales and profitability. The segment accelerated maintenance and equipment investment.
- Corporate and other: Corporate operating loss increased to $12.3 million from $7.6 million, primarily reflecting ERP and other IT spending, higher stock-based compensation, $1.0 million of Alumco-related transaction costs, and other cost increases. The company also incurred approximately $6.8 million of aluminum-segment repair and maintenance costs.
- Operating cash flow was negative amid inventory growth, lower accounts payable and accrued liabilities, and cash-collection and supplier-payment timing. Management said it expected these timing effects to reverse in Q2. Investing outflows included the $22.4 million Alumco purchase and higher capital spending.
Outlook, risks and contingencies
- No specific full-year revenue or earnings guidance is provided. Management expected operating results to improve in subsequent quarters, while noting that first-half activity is typically seasonally weaker. It described the housing recovery as likely to be slow and uneven and near-term market conditions as challenging.
- Management cited cost control as a key near-term margin lever, given price competition and excess capacity. It expected benefits from the IG facility consolidation, freight optimization, German production expansion, and aluminum-equipment improvements; the previously projected annual pretax savings from the IG consolidation were approximately $8 million.
- Key exposures include housing and remodeling demand, aluminum and scrap prices, product mix and pricing, foreign exchange, energy and freight costs, customer concentration, execution of operational plans and acquisitions, and warranty and environmental obligations.
- Environmental reserves were $11.2 million, with estimated remediation-cost recoveries of $10.5 million. The Decatur, Alabama remediation plan remains subject to regulatory review; costs and timing could differ from estimates, and payments are expected to extend through at least fiscal 2034. Management said it had adequate reserves and did not expect environmental matters or ordinary-course litigation to have a material adverse effect.
- The company recorded a $0.3 million contingent consideration liability for Alumco. Its estimated annual effective tax rate was 41.7%; it also reported $15.8 million of unrecognized tax benefits and said approximately $2.7 million might be recognized within 12 months due to a statute-of-limitations lapse.
- After quarter-end, Quanex contributed $3.3 million to its pension plan and borrowed $10 million under the new revolver. It reported no expected additional pension contributions for the fiscal year at the time of filing.
Important facts for investors to verify

- Progress on ERP implementation, capital commitments of approximately $9.1 million at January 31, and the expected associated depreciation increase.
- Final Alumco purchase-price allocation, integration results, and any earn-out payment tied to financial targets.
- Changes in environmental remediation costs and recoveries, warranty estimates, tax positions, and compliance with credit-facility covenants.
