Cash and cash equivalents were $1,512.2 million at March 31, 2011, down from $2,288.7 million at December 31, 2010. Total current assets were $9,165.9 million versus $10,194.1 million at year-end. Total debt, including short-term borrowings, long-term notes and convertible debt, was approximately $3.18 billion on a balance-sheet basis, excluding certain accounting adjustments. The company had $2.0 billion available under its revolving credit facility and $669.8 million of uncommitted lines, none of which were used at quarter-end.
Material Changes Versus the Prior Comparable Period
- Revenue increased $231.3 million, led by organic growth and stronger international performance. U.S. revenue increased 3.8%, United Kingdom revenue 12.4%, Euro-market revenue 0.6% and other markets, primarily Asia and Latin America, 27.3%.
- Salary and service costs increased 11.8% to $2,418.3 million, including $92.8 million of severance charges. Excluding severance, these costs increased 7.5%.
- Office and general expenses decreased 11.9% to $410.9 million, primarily because of a $123.4 million non-cash gain related to the Clemenger transaction, partly offset by $38.5 million of repositioning charges. Excluding these items, office and general expenses increased 6.3%.
- Interest expense increased to $41.9 million from $29.8 million, primarily reflecting the 2020 senior notes issued in August 2010. Net interest expense increased to $32.1 million from $24.1 million.
- The effective tax rate declined to 25.5% from 34.0%, primarily because of the tax benefit associated with repositioning charges and the differing tax treatment of the Clemenger remeasurement gain.
- Diluted EPS benefited from both higher earnings and lower weighted-average shares outstanding following common-stock repurchases.
- Net cash used in investing activities increased to $239.4 million from $43.7 million, mainly because of $211.4 million spent on businesses and affiliate interests.
- Financing cash outflows included $333.2 million of share repurchases and $57.9 million of dividends, compared with $249.6 million and $46.9 million, respectively, in Q1 2010.
Guidance, Outlook, Risks and Unusual Items
- Management expected full-year 2011 revenue, excluding foreign-exchange effects, to increase modestly above average nominal GDP growth, driven by client spending and new business activity.
- Management targeted improving margins to 2007 levels by the end of 2012 through business repositioning, workforce rebalancing and operational consolidation.
- Effective February 1, 2011, Omnicom increased its ownership of Clemenger Group in Australia and New Zealand from 46.7% to 73.7%. The transaction generated a $123.4 million non-cash remeasurement gain.
- Q1 repositioning actions generated $131.3 million of charges: $92.8 million severance, $15.3 million real-estate lease termination costs and $23.2 million of asset, goodwill and other write-offs. Approximately $37.0 million of severance payments were expected in Q2 2011, with substantially all remaining severance paid by year-end.
- Dispositions completed through March 31, 2011 were expected to reduce annual revenue by approximately $120 million, while acquisitions were expected to more than offset that reduction.
- Cash requirements are seasonal and typically peak in the second quarter because of incentive compensation, taxes and contingent acquisition obligations. Management expected to fund 2011 discretionary and nondiscretionary requirements without additional long-term debt.
- Convertible-note holders could put the 2032 notes back to Omnicom in August 2011. Management expected available cash and credit capacity to fund any such put.
- Potential contingent purchase-price obligations for acquisitions completed before 2009 were estimated at approximately $119 million, including $77 million during the remainder of 2011, $34 million in 2012 and $8 million in 2013. Actual payments may differ materially based on operating performance and foreign exchange rates.
- Principal risks include economic downturns, reduced client spending or payment delays, client credit exposure on media and production commitments, competition, personnel retention, technology dependence, foreign-exchange fluctuations, credit-market disruptions, tax matters and legal proceedings.
- Unrecognized tax benefits totaled $181.4 million at March 31, 2011, of which approximately $81.4 million would affect the effective tax rate if recognized. Management reported no material adverse effect expected from pending ordinary-course legal proceedings.
- Management stated that no material changes had occurred in market risks or previously disclosed risk factors. Disclosure controls and procedures were considered effective as of March 31, 2011.
Investor Verification Checklist
- Verify the sustainability of 5.2% organic revenue growth and whether management's above-GDP growth outlook was achieved.
- Separate recurring operating performance from the $123.4 million Clemenger remeasurement gain and $131.3 million of repositioning charges.
- Monitor margin progression toward the 2012 target and the cash costs and timing of severance and lease-termination payments.
- Assess liquidity around the second-quarter seasonal cash outflow and the August 2011 put date for the 2032 convertible notes.
- Track the effect of share repurchases on diluted EPS and future cash availability.
- Review contingent acquisition obligations, unrecognized tax benefits and potential client-credit exposure related to media and production commitments.
