Financial results and liquidity
- Q2 revenue: $306.2 million, up 29.1% from $237.2 million. The increase was led by bank deposit sweep income and interest revenue, with higher principal transactions and investment banking revenue also contributing.
- Q2 earnings: Pre-tax loss of $11.7 million versus a $6.2 million loss; net loss attributable to Oppenheimer Holdings Inc. of $9.4 million, or $0.85 per diluted share, versus a $3.9 million loss, or $0.32 per share. The filing attributes the larger loss principally to a significant legal reserve; it does not provide a clear amount for that reserve. Approximate pre-tax margin was negative 3.8%, compared with negative 2.6% a year earlier.

Asset Management revenue declined 8.7% to $22.2 million and pre-tax income fell 19.5% to $6.5 million.

Changes, outlook and key risks
- Higher short-term rates substantially lifted sweep and margin-interest revenue, but lower cash-sweep balances partly offset the sweep benefit. Management noted that reduced speculative trading weighed on transaction-based commissions.
- Management said market appreciation and positive net asset flows supported higher AUM and assets under administration. It also cited stronger M&A advisory, equity underwriting and fixed-income trading, offset partly by weaker fixed-income underwriting and equity trading.
- No specific financial guidance was provided. Management’s stated priorities include growing wealth management and asset management, selective hiring and acquisitions, expanding investment banking and capital markets, investing in technology and cybersecurity, and managing expenses. Management believes operations, capital and available credit facilities are sufficient for foreseeable liquidity needs.
- Management noted that further Federal Reserve rate increases could benefit interest-based revenue, subject to the risk that clients move cash out of sweep programs. It also cited funding availability and costs, market conditions, regulatory change, cybersecurity, and legal and operational risks.
- Legal contingencies: The Company estimated aggregate reasonably possible losses in excess of accrued amounts of up to $31 million for matters where it could estimate a range; actual losses could be higher, and some matters cannot be estimated. Thirty-one Horizon-related arbitrations were settled, settled in principle or resulted in awards, with aggregate payments of approximately $78.5 million; fourteen pending arbitrations claim approximately $13.9 million in specified losses, with other claims unspecified. The SEC’s municipal-securities case seeks an injunction and approximately $1.9 million plus interest. The Company disputes the claims and says it will defend itself. SEC and CFTC inquiries into employee electronic communications and record retention also remain ongoing.
- Post-quarter events: The Company completed a tender offer on July 6, 2023, repurchasing 437,183 shares for $17.49 million at $40 per share. On July 28, it announced a $0.15-per-share dividend payable August 25, 2023.
