- The $534.7 million impairment charge was the primary driver of the GAAP operating and net losses. It included a $47.6 million goodwill impairment and $463.5 million of long-lived asset impairments, primarily relating to the MTA transit asset group.
- Interest expense rose to $158.4 million from $131.8 million, reflecting higher rates and a higher average debt balance. The company also recorded an $8.1 million loss on extinguishment of debt.
Balance sheet, debt and liquidity
- Cash was $36.0 million at year-end, versus $40.4 million a year earlier. Total debt, net, was $2.74 billion, compared with $2.66 billion; weighted-average debt cost rose to 5.7% from 5.2%.
- Working capital deficit widened to $195.4 million from $161.2 million. The company reported $500 million of undrawn revolving credit commitments, excluding letters of credit, and $85 million of remaining AR Facility capacity at year-end.
- Credit Agreement leverage ratios were 5.3x consolidated total leverage and 2.0x consolidated net secured leverage; the company stated it was in compliance with debt covenants at December 31, 2023.
- Operating cash flow was broadly flat. Financing cash outflow included $207.0 million of dividends paid. The board approved a $0.30-per-share quarterly common dividend in February 2024.
Material changes and outlook
- Transit and MTA: Transit ridership remained materially below pre-pandemic levels in major markets, and the company said ridership recovery had not translated into increased demand for transit displays. It expects MTA equipment deployment costs of approximately $50 million in 2024, with annual costs of approximately $30–$40 million thereafter during the remaining agreement term. Management expects the MTA agreement to reach cash-flow neutrality at some point in 2024, but currently does not expect to recoup deployment costs through the remainder of the agreement term.
- 2024 investment outlook: Planned capital expenditures are approximately $75 million, excluding MTA equipment deployment costs. Management expects transit franchise expenses as a percentage of transit display revenue to decline from 2023 levels in 2024, while remaining above pre-pandemic levels.
- Canadian business sale: The company agreed to sell its Canadian outdoor advertising business to Bell Media for C$410 million cash, subject to adjustments and a contractual holdback. Closing was expected in the first half of 2024, subject to conditions including Canadian antitrust approval. The business contributed $92.1 million of 2023 revenue and was classified as held for sale.
- Debt refinancing: In November 2023, the company issued $450 million of 7.375% senior secured notes due 2031 and used the proceeds to redeem its $400 million 6.250% notes due 2025. Its revolving credit facility maturity was extended to June 2028, with higher applicable borrowing margins.
- Management cited inflation, higher interest rates, supply-chain and installation delays, advertising market weakness, and the cost and recovery risks of digital transit deployments. Billboard property lease expenses rose 11%; the company also recorded a $5.2 million out-of-period lease expense adjustment in 2023, which it concluded was not material to previously issued financial statements.
Key risks and unusual items
- Substantial debt, variable-rate exposure, debt covenants, and reliance on cash generation and capital markets to fund debt service, distributions, and investment.
- Advertising demand and transit revenues are exposed to economic conditions, changing commuting and ridership patterns, competition, seasonality, and regulatory restrictions.
- The MTA impairment valuation depends on management’s revenue and cash-flow assumptions. Management estimated that a 1 percentage-point change in annual MTA revenue growth assumptions for 2024–2030 would change estimated aggregate cash flows by approximately $70 million; further impairment charges may occur.
- The Canadian divestiture is subject to closing conditions; proceeds and timing are therefore not assured. The filing also identifies REIT qualification and distribution requirements as risks.
- PwC issued unqualified opinions on the financial statements and internal control over financial reporting. The auditors identified MTA cost recoverability and the MTA asset-group impairment assessment as critical audit matters.
Investor facts to verify

- Actual 2024 MTA deployment spending, transit revenue trends, cash-flow performance, and any additional impairments.
- Debt balances, interest costs, covenant headroom, and refinancing needs against the disclosed maturity schedule.
- Whether billboard revenue growth and cost controls can offset weaker transit performance and higher site, labor, and financing costs.
- Dividend coverage by cash flow and compliance with REIT distribution requirements.
