RB Global Inc. (Ritchie Bros. Auctioneers Incorporated) — Q1 2016 Form 10-Q

Reporting period: Three months ended March 31, 2016. Unaudited consolidated statements are in U.S. dollars; amounts below are rounded to millions unless noted. The company began reporting under U.S. GAAP on January 1, 2016, with prior periods retrospectively converted.

Business context and results

The company provides industrial-asset disposition services through unreserved auctions, online marketplaces, and related services. Revenue growth reflected higher GAP and improved Revenue Rate, including stronger straight-commission contract performance and fee revenue. Fees rose to $32.2m from $22.5m; commissions were $99.8m versus $93.1m. Costs of services increased 32% to $15.3m, partly reflecting acquisitions and greater auction advertising and operating activity. SG&A increased 7% to $68.3m, below revenue growth. The effective tax rate declined to 24.1% from 28.1%.

Cash flow, liquidity, and capital

  • Operating cash flow was $134.0m, up 22%; management attributed the increase mainly to changes in operating assets and liabilities, including auction proceeds payable. Such cash flows can vary with auction timing.
  • Investing cash outflow was $33.3m, including $27.8m net cash paid for Mascus; financing cash outflow was $25.7m. Cash and cash equivalents rose to $294.1m from $210.1m. Restricted cash was an additional $117.9m.
  • Working capital was $87.9m, down from $140.1m at December 31, 2015, primarily following share repurchases and dividend payments. Current assets were $597.2m and current liabilities $509.3m.
  • Total debt was $144.8m, including $42.5m short-term debt and $102.3m long-term debt. Debt/Adjusted EBITDA was 0.7x on a rolling 12-month basis, versus 0.6x a year earlier. The company said it complied with credit-facility covenants.
  • Quarterly stockholder dividends paid were $17.2m; share repurchases totaled $36.7m for 1.46m shares. A further $0.16-per-share dividend was declared after quarter-end, payable June 14, 2016.

Material changes, outlook, and risks

  • Mascus acquisition: Acquired 100% on February 19 for €26.6m ($29.6m), plus contingent consideration with estimated fair value of $3.4m tied to performance targets. Mascus contributed $1.3m revenue through quarter-end and insignificant net income. Purchase-price allocations remained provisional; goodwill recorded was $19.3m.
  • RB Financial Services (RBFS): The company’s options concerning the 49% non-controlling interest became exercisable April 6, 2016. Its estimated redemption value at March 31 was $41.4m, based on negotiations still in progress; the eventual amount may differ materially. Payment may be in cash or shares, subject to approvals.
  • Market conditions: Management characterized the used-equipment market as stable overall, but prices remained below the Q1 2015 peak. Transportation supply was elevated in North America; oil-and-gas and mining assets continued to face price pressure. Results are seasonal, generally strongest in Q2 and Q4.
  • Guarantees and contingencies: Auction guarantees covered $85.1m of industrial assets and $34.2m of agricultural assets at quarter-end, before estimated auction proceeds; all were expected to sell by July or August 2016. Management did not expect ordinary-course legal claims to materially affect the financial statements. No material legal proceedings or material changes in risk factors were reported.
  • Outlook: The filing provides no specific financial guidance. Management said existing working capital and credit availability were sufficient for current operations and future growth, including acquisitions and online-marketplace development. It also noted foreign-exchange exposure and that currency movements reduced reported GAP and revenue; the natural hedge partly mitigated operating-income effects.

Important facts for investors to verify

  • Whether auction volume and higher fees sustain growth, given core auction GAP per lot fell 16% year over year and equipment pricing remains pressured in certain sectors.
  • The final Mascus purchase accounting, contingent payments, and the acquired business’s contribution to results.
  • The RBFS redemption price and funding method after the April 6 option exercise window opened; the $41.4m carrying estimate is judgment-based.
  • Debt refinancing: the $46.1m current loan was refinanced on a long-term basis on May 4, 2016, after quarter-end; review subsequent filings for terms and liquidity effects.
  • Cash-flow quality and liquidity: operating cash flow benefited from working-capital movements, while working capital fell and restricted cash is not freely available for general use.
