RENAISSANCERE HOLDINGS LTD quarterly report, Q1 FY2024

RenaissanceRe Holdings Ltd. — Q1 2024 Form 10-Q

Business context and period. Results are for the three months ended March 31, 2024, compared with Q1 2023; balance-sheet figures are compared with December 31, 2023. RenaissanceRe writes property, casualty and specialty reinsurance and insurance, and manages third-party capital. The Validus acquisition closed November 1, 2023, so Q1 2024 includes Validus while the comparable 2023 quarter does not; reported growth is therefore not purely organic.

Financial position, cash flow and liquidity

  • At March 31, 2024, total assets were $50.94 billion, total investments $29.64 billion, cash and cash equivalents $1.61 billion, and shareholders’ equity attributable to RenaissanceRe $9.79 billion.
  • Debt was $1.88 billion, down from $1.96 billion at year-end, mainly after repayment of $75 million drawn under the Medici revolving facility. No amounts were drawn under the main revolving credit facility; the company reported covenant compliance.
  • Operating cash flow was $683.5 million, compared with $435.7 million. Investing activities used $304.5 million and financing activities used $644.6 million; cash declined $270.8 million during the quarter.
  • Management said it expects operating cash receipts to meet liquidity needs over the next 12 months, while noting that catastrophe claims and investment-market conditions can make cash flows volatile. $10.1 billion of cash and investments was pledged or held in trust for counterparties and regulatory purposes.
  • Book value per common share was $170.92; book value plus accumulated dividends was $197.83, up 3.7% during the quarter. Annualized return on average common equity was 16.4%, compared with 46.6% in Q1 2023.

Material changes and unusual items

  • Total investment result fell to $177.1 million from $533.8 million. Rising interest rates drove losses on fixed maturities and investment-related derivatives, partly offset by higher investment income from the enlarged portfolio and higher yields.
  • The Francis Scott Key Bridge collapse in Baltimore produced an estimated $79.9 million net underwriting impact and reduced common-shareholder net income by $54.5 million; it added 3.3 percentage points to the consolidated combined ratio. The estimate is preliminary and may change as claims and recoveries develop.
  • Q1 2024 corporate expenses included $20.3 million associated with the Validus acquisition. The company expects further acquisition-related costs; ultimate costs may exceed current estimates. Purchase-accounting adjustments added 2.5 percentage points to the Casualty and Specialty combined ratio.
  • Redeemable noncontrolling interests received $244.8 million of consolidated net income, affecting the amount attributable to RenaissanceRe shareholders. This reflects the company’s consolidation of several managed ventures in which it does not retain all economic interests.
  • The board declared a quarterly common dividend of $0.39 per share. No shares were repurchased under the public repurchase program; $500 million remained authorized.

Outlook, commentary and risks

Management described the January 1 renewals as successful and sees continued opportunities in reinsurance, with focus on executing the combined RenaissanceRe and Validus portfolio and completing integration. It expects favorable market conditions to continue into 2024, while providing no specific financial guidance in the supplied filing text. Management highlighted active hurricane-season forecasts but cautioned that risk depends on many interacting factors. It also sees potential for Baltimore bridge and other aviation losses to contribute to specialty-market dislocation and rate opportunities.

Key uncertainties include catastrophe frequency and severity, climate-related risk, inflation and longer-tail casualty claims, reserve adequacy, interest-rate and investment volatility, reinsurer and other counterparty credit, Validus integration, and access to retrocessional protection. Bermuda enacted a 15% corporate income tax applying to certain Bermuda businesses from fiscal years beginning in 2025; RenaissanceRe expects higher taxes from that year. Management stated that no material changes to previously reported risk factors or legal proceedings occurred this quarter.

Investor verification points

  • Track subsequent estimates, claims, reinsurance recoveries and ultimate net cost for the Baltimore bridge collapse.
  • Assess whether premium and underwriting growth persists after separating Validus-related growth from legacy and organic performance, particularly in Casualty and Specialty.
  • Monitor investment returns and book value sensitivity to interest rates, including derivative positions and reported unrealized losses.
  • Review reserve development, especially casualty and specialty reserves, and compare favorable prior-year development with later claims emergence.
  • Confirm Validus integration progress, purchase-accounting and other acquisition costs, and realization of expected benefits.
  • Evaluate liquidity and capital availability alongside pledged assets, third-party capital flows, and $1.6 billion of remaining commitments to investments; monitor the financial and tax effects of Bermuda’s 2025 tax regime.
