Sibanye-Stillwater Limited — 2023 Form 20-F summary
Reporting period: Fiscal year ended 31 December 2023; filed 26 April 2024. This is an annual report, not a standalone 2023 Q4 filing. Financial statements are prepared under IFRS Accounting Standards and presented primarily in South African rand (R).
Business context
Sibanye-Stillwater is a multinational miner and metals processor with operations, projects and investments across five continents. Its portfolio includes platinum-group metals (PGMs), gold, nickel, zinc, chrome and copper, alongside lithium development and recycling and tailings retreatment. South Africa generated 75% of 2023 revenue, according to the filing.

| Cash and committed undrawn facilities | R25.6bn cash; R20.8bn undrawn facilities | R26.1bn cash; R16.4bn undrawn facilities | The CFO report separately states liquidity headroom of R49.5bn; the filing text does not clearly reconcile this with the listed components |
| Capital expenditure | R22.4bn | R15.9bn | Higher investment, including projects and sustaining capital |
The filing does not provide a clear consolidated IFRS operating-margin figure in the supplied text. SA PGM adjusted EBITDA margin declined to 32% from 53%; SA PGM all-in sustaining cost excluding third-party concentrate purchases rose 4% to R20,054/4Eoz. Gold prices and increased SA gold production supported a turnaround in that segment’s adjusted EBITDA, from a R3.5bn loss in 2022 to R3.5bn positive in 2023. By contrast, US PGM underground adjusted EBITDA fell 89%, while recycling fed 48% fewer PGM ounces year over year.
Material changes and unusual items
- The R47.5bn impairment charge was primarily associated with US PGM operations (R38.9bn), Century (R3.7bn), Sandouville (R1.6bn), Kloof 4 shaft (R1.6bn) and Burnstone (R1.1bn), with additional impairment relating to Mimosa.
- Revenue declined as PGM prices fell and autocatalyst recycling volumes contracted. The rand weakened 13% against the US dollar on an average-rate basis, partly cushioning the PGM price impact in rand terms.
- The Group acquired control of Century in February 2023 and full ownership in May; it acquired the remaining 50% of the Kroondal pool-and-share agreement effective 1 November. It exercised the option to acquire Mt Lyell in November. The Reldan acquisition closed after year-end, on 15 March 2024, for US$155.9m.
- Total dividends for 2023 were 53 South African cents per share, consisting of the interim dividend. No final dividend was declared, consistent with the policy and lower H2 normalised earnings.
- The audited financial statements received an unqualified opinion. However, management identified a material weakness in internal control over financial reporting involving cash and cash equivalents in South Africa and PGM inventory in process at Western Platinum and Stillwater. The weakness did not result in a reported misstatement. EY issued an adverse opinion on internal control effectiveness.
Outlook, commentary and risks
Management is prioritising cost reduction, cash preservation and disciplined capital allocation in a weak PGM price environment. Initiatives announced through April 2024 are expected to deliver about R6.6bn of annual gross savings and capital deferrals; management states this estimate has not been reviewed or reported on by the auditors. Further restructuring may be required if low commodity prices and inflation persist. The company also hedged more than 60% of 2024 SA gold production with collars, limiting downside while retaining some upside.
2024 production guidance includes US PGM underground 440–460koz (2E), SA PGMs 1.80–1.90Moz (4E), SA gold 19,500–20,500kg excluding DRDGOLD, US recycling 300–350koz (3E), Sandouville 7.5–8.5kt nickel and Century 87–100kt payable zinc. Planned Group capital expenditure is approximately R20.5bn; the filing notes guidance excludes unplanned events. Keliber construction continues, but a Finnish court ruling may delay commencement of Rapasaari mine operations; the overall timing impact was still being assessed. Management also cites energy shortages, crime and cable theft in South Africa, operating constraints and critical-skill shortages, commodity-price volatility, and the transition in vehicle powertrains as material risks. A lawsuit brought by Appian concerning terminated Brazilian mine acquisition agreements was scheduled for trial in June 2024; the outcome remains uncertain.
Safety remained a significant concern: 11 colleagues died at work in 2023, including four contractors in a single Burnstone conveyor collapse. The serious injury frequency rate improved 10% to a Group record-low 2.61, while the total recordable injury frequency rate worsened to 5.24 from 5.07.
Important facts for investors to verify
- Review the impairment assumptions and sensitivity to PGM prices, discount rates, production and capital costs, particularly for US PGM, Century, Sandouville and Burnstone.
- Track remediation of the material weakness in financial reporting controls, including the planned control testing and whether the adverse internal-control opinion changes.
- Verify liquidity headroom, debt maturities, covenant compliance and the cash-flow impact of the US$500m convertible bond and Reldan acquisition.
- Monitor 2024 production, cost and capital guidance, and whether the stated R6.6bn savings and capital deferrals are realised.
- Follow the outcomes of the Appian litigation, Keliber permitting and schedule, and continuing restructuring consultations and closures.
- Assess whether weaker PGM prices, recycling-market conditions, safety incidents, energy constraints and the concentration of US PGM refining could further pressure results.
