Current liabilities were $1.438 billion and stockholders’ equity was $1.718 billion. Scheduled debt principal payments include $797.6 million in 2025 and $603.1 million in 2026. The company paid $71.9 million in dividends and repurchased $32.1 million of shares in 2022.

Changes versus the prior year

  • Sales increased 12.9%, primarily from price increases passing through higher raw-material and other inflationary costs; dispensing closures also had higher volume. Sales growth was partly offset by lower volumes in metal and custom containers and unfavorable currency translation.
  • Metal container volume declined approximately 11%, while sales rose 20.1% on higher selling prices. Custom container volume declined approximately 8%; dispensing and specialty closures volume increased approximately 1%.
  • Operating income rose 4.5%, but its margin fell to 9.4% from 10.1%. Net income declined 5.1%, reflecting higher interest expense, taxes and unusual charges.
  • Operating cash flow increased to $748.4 million from $556.8 million, with working-capital movements contributing to the comparison. The company reported an $83.0 million reduction in cost of goods sold from liquidation of LIFO inventory layers under its inventory-management program.

Outlook, commentary, risks and unusual items

  • Management expected 2023 demand to remain strong for metal food containers, supported by pet food and at-home food consumption, and anticipated strong beauty and fragrance demand, improved hygiene and cleaning demand, and higher metal-closure volumes. It expected custom-container demand to improve, partly offset by the timing of exiting lower-margin business and commercializing replacement business later in 2023. The filing provides no quantified sales or earnings guidance.
  • Management planned approximately $250 million of capital expenditures in 2023 and estimated approximately $150 million of federal, state and foreign tax payments. It stated that operating cash flow and available credit were expected to cover foreseeable operating, investment and debt-service needs; the company was in compliance with debt covenants.
  • 2022 included $74.1 million of rationalization charges, including a $73.8 million non-cash write-off of assets associated with the Russian market; the company was shutting down its two Russian metal-container facilities. A separate $8.5 million credit reduced the Central States pension withdrawal liability charge.
  • The company paid a €23.9 million European Commission fine in October 2022 to settle a long-running investigation of its European metal-packaging operations; it said it did not fully concur with the Commission’s facts and legal qualifications.
  • Key risks include inflation and delayed recovery of raw-material costs, concentrated suppliers, supply-chain and labor constraints, crop and weather variability, competition and customer concentration, seasonality and working-capital needs, foreign exchange, floating-rate debt, and execution of facility rationalizations. Approximately 21% of 2022 sales were subject to customer supply-chain-finance arrangements; supplier arrangements covered approximately 12% of cost of goods sold, with $346.8 million of related payables outstanding at year-end.
  • The effective tax rate increased to 28.1% from 23.0%, partly due to non-deductible Russia-related write-offs and the European Commission settlement. Goodwill was $1.985 billion; annual impairment testing depends on estimates of future earnings and market multiples.
  • Ernst & Young issued unqualified opinions on the financial statements and internal controls over financial reporting.

Important facts for investors to verify

  • Whether price pass-throughs and cost controls can sustain profitability as inflation, customer pricing pressure and input costs change; note the decline in operating margin despite higher sales.
  • The durability of the 2022 cash-flow increase, including the effects of working capital, the LIFO inventory liquidation benefit and supply-chain-finance programs.
  • The impact of debt maturities, floating-rate exposure and refinancing needs, particularly the scheduled 2025–2026 repayments.
  • Completion and financial consequences of the Russian facility shutdown, and any further costs or liabilities from restructuring, pensions or legal matters.
  • Whether management’s qualitative 2023 demand expectations materialize, especially in metal food containers and custom containers.
