Changes, capital, and unusual items

  • Automotive represented 52.3% of revenue. Automotive revenue grew organically 5.7%; HVOR revenue declined organically 0.7%, amid weaker production markets. Sensing Solutions’ organic growth reflected clean-energy launches and content gains, partly offset by appliance and HVAC weakness.
  • Management reported 820 basis points of market outgrowth, including pricing, content growth, and new product launches. Electrification revenue was approximately $460 million, versus $261 million in 2021.
  • Cash generation weakened: operating cash flow fell $93.6 million and free cash flow fell $99.2 million. The company cited lower net income, receivables growth, higher inventory, and acquisition-related compensation payments.
  • FY 2022 net income included a $75.6 million mark-to-market loss, primarily on the Quanergy investment, recorded in other expense. Restructuring and other charges included a $135.1 million gain on the Qinex divestiture, partly offset by $48.9 million of acquisition-related compensation expense; the line was a net credit of $66.7 million.
  • Sensata acquired Elastic M2M for approximately $51.6 million and Dynapower for approximately $577.5 million. Purchase-price allocations for both were preliminary. It sold the Qinex business, received $198.8 million at closing, and recorded the gain noted above.
  • Capital returns included $292.3 million of share repurchases and $51.1 million of dividends. The company paid off $500 million of 4.875% notes in September 2022 and issued $500 million of 5.875% notes due 2030. It prepaid $250 million of Term Loan principal on February 6, 2023.

Outlook, risks, and contingencies

  • No full-year 2023 revenue or EPS guidance is stated in the provided filing text. Management expects capital expenditures and capitalized software of approximately $170–$180 million in 2023, funded from operating cash flow; megatrend spending is expected to be approximately $65–$70 million, mostly R&D. Estimated 2023 intangible amortization is approximately $153.7 million.
  • Management expects improving free cash flow to support lower leverage over time and said available liquidity should fund operations, investment, repurchases, and debt service for at least 12 months, subject to operating performance and debt restrictions. Revolver availability was $746.1 million at year-end; the company reported covenant compliance.
  • Key exposures include cyclical automotive and industrial demand, continuing supply-chain constraints and input-cost inflation, difficulty passing costs to customers, foreign-exchange and interest-rate movements, China and geopolitical/trade-policy risks, cybersecurity and data privacy, product liability and long warranty exposure, and acquisition integration.
  • Goodwill was $3.911 billion and other intangible assets were $1.000 billion at year-end. No impairment was identified in the October 2022 test, but valuation depends on forecasts and other assumptions. The auditor identified goodwill valuation, uncertain tax positions, and Dynapower acquired-intangible valuation as critical audit matters.
  • The company reported no material pending litigation or environmental claims and did not expect ordinary-course litigation outcomes to have a material adverse effect. The auditor issued unqualified opinions on the financial statements and internal control; controls for the 2022 acquisitions were excluded from the company-wide control assessment.

Investor verification priorities

  1. Reconcile the decline in net income and cash flow, including the Quanergy write-down, tax expense, Qinex gain, and working-capital movements.
  2. Review debt maturities, variable-rate exposure, the February 2023 Term Loan prepayment, and leverage relative to cash generation and covenant terms.
  3. Assess whether acquisition assumptions and preliminary Dynapower and Elastic M2M purchase accounting are borne out by subsequent results.
  4. Track organic growth, segment margins, pricing versus inflation, and the conversion of more than $1.0 billion of 2022 new-business awards into realized sales.
  5. Confirm the scope and timing of any 2023 financial guidance, and monitor goodwill sensitivity, tax uncertainties, and supply-chain and China-related risks.
