Material changes, outlook, and unusual items

  • Reported earnings benefited substantially from Canopy-related items. CBI recognized an $83.3 million gain on converting its Canopy shares and exchanging part of a promissory note for Exchangeable Shares. The prior-year quarter included $415.4 million of losses from unconsolidated investments, including Canopy equity losses, an investment impairment, and unrealized security losses. These items make the year-over-year net income comparison less representative of underlying operating growth.
  • The effective tax rate was 3.0%, compared with 39.6% in the prior-year quarter, reflecting tax-examination resolutions, a reduced Canopy valuation allowance, and lower rates on foreign earnings. Management expects a Fiscal 2025 reported effective tax rate of 11%–13%, including an anticipated tax benefit associated with the July 2024 sale of remaining Mexicali Brewery assets.
  • In June 2024, CBI acquired the Sea Smoke luxury wine business for $170.0 million, subject to adjustments. In July 2024, it completed the sale of remaining assets at the canceled Mexicali Brewery.
  • Management expects Wine and Spirits U.S. wholesale shipments to align with depletion volume during Fiscal 2025. The filing provides no clear full-year net sales or EPS guidance in the supplied text.
  • Management cited inflation, reduced consumer discretionary income, changing consumer behavior, supply-chain constraints, geopolitical events, and severe weather as potential pressures. Risks also include agricultural and packaging supply, reliance on Mexican beer production facilities, competition, indebtedness and interest rates, and possible impairment of Wine and Spirits goodwill; a future impairment is described as reasonably possible if conditions or performance weaken.

Important facts for investors to verify

  • How much of earnings and EPS growth reflects Beer operations versus the Canopy gain, prior-year Canopy losses, and the unusually low quarterly tax rate.
  • Whether Beer shipment growth and cost savings continue, and whether Wine and Spirits depletion declines stabilize.
  • The timing, scope, and funding of Mexico Beer Projects capital spending, and resulting effects on cash generation and debt.
  • Whether the expected 11%–13% Fiscal 2025 tax rate and Mexicali-related tax benefit are realized.
  • Potential Canopy investment and Wine and Spirits goodwill valuation changes, along with the effect of the Sea Smoke acquisition.
