Material Changes Versus the Prior Comparable Period
- Quarterly sales increased 24.7%; organic sales increased 20.7%, while acquisition sales contributed $57 million. Year-to-date sales increased 20.8%, including 18.0% organic growth.
- Commercial aftermarket, commercial OEM and defense sales all increased, reflecting higher aircraft utilization, commercial aerospace recovery, improved aircraft production and higher defense outlays.
- Airframe quarterly sales increased 34.7% to $835 million; Power & Control sales increased 16.8% to $861 million. Year-to-date Airframe sales rose 29.3%, compared with 14.7% growth for Power & Control.
- Gross margin expanded by 60 basis points in the quarter and 160 basis points year to date. Management attributed the improvement to pricing and product mix, cost actions, operating leverage and a greater proportion of commercial aftermarket sales.
- Quarterly net income attributable to TD Group rose 47.5%; year-to-date net income rose 47.2%. Year-to-date EPS increased to $14.80 from $9.44, despite lower weighted-average shares outstanding.
- Interest expense increased to $291 million in the quarter and $872 million year to date, primarily because of higher Term SOFR and LIBOR rates on unhedged variable-rate debt. The weighted-average cash interest rate increased to 6.1% from 5.3%.

Outlook, Commentary, Risks and Unusual Items
Management stated that commercial aerospace markets continued to recover, with domestic air travel near or at pre-pandemic levels in many markets and international traffic improving but still below pre-pandemic levels. Management expects commercial aerospace markets to continue progressing through the remainder of fiscal 2023, absent significant disruptions or setbacks. The filing does not provide a specific numerical revenue or earnings forecast.
Commercial OEM supply-chain constraints, raw-material and labor availability, freight costs and certification requirements remain relevant operating risks. Other principal risks include aircraft flight-hour volatility, customer concentration, defense-budget timing, government audits and investigations, acquisition integration, high indebtedness and interest-rate exposure, cybersecurity, geopolitical events, environmental liabilities, litigation and foreign-exchange movements.
Over 75% of gross debt was at fixed rates at July 1, 2023. Interest-rate swaps, caps and collars hedge a portion of floating-rate exposure. The company expects to meet near-term obligations through operating cash flow, cash on hand and available revolver capacity, and expects to refinance or otherwise address maturities as they arise. No term-loan or note maturity occurs before March 2026.
- On July 25, 2023, after the reporting date, the receivables securitization facility was amended to increase capacity from $350 million to $450 million and extend maturity to July 25, 2024. The drawn amount remained $350 million, and the interest-rate spread increased from Term SOFR plus 1.30% to plus 1.60%.
- The company received a $9 million refund related to finalizing the Esterline Retirement Plan settlement, compared with a $21 million pension settlement charge in the prior-year quarter.
- The Department of Defense Inspector General recommended a voluntary refund of at least $20.8 million concerning 150 contracts. TransDigm disputes the report’s methodology, and no loss contingency was recorded because payment was considered uncertain.
- The company reported that the derivative stockholder lawsuit settlement was approved and did not materially affect the financial statements.
- Management concluded that disclosure controls were effective. Calspan was excluded from the internal-control evaluation while being integrated, representing approximately 4.2% of total assets at acquisition-inclusive July 1, 2023 balances.
