Financial position and cash flow
- For the first six months, operating cash flow from continuing operations was $170.6, up from $101.9 a year earlier. Management attributed the increase mainly to lower tax payments and favorable working-capital changes.
- Capital expenditures were $39.4, implying operating cash flow less capital expenditures of approximately $131.2. Investing cash outflow was $29.2; financing cash outflow was $186.0, including $154.5 of debt reduction and $31.9 of dividends.
- At July 2, cash was $250.8; current assets were $1,445.8 and current liabilities $555.4. Current and long-term borrowings totaled $1,558.2, versus $1,711.5 at December 31, 2022. Cash therefore exceeded borrowings by approximately $1,307.4 net debt.
- Interest expense rose to $17.8 in Q2 and $36.1 for H1, from $11.4 and $21.8, respectively. The reported average interest rate on debt increased to 4.1% for Q2 and 4.0% for H1, largely reflecting higher variable rates.
Changes versus prior comparable periods
- Revenue increased 5.5% in Q2 and 8.0% in H1. Management cited new-product sales and price increases as the main drivers; lower existing-product volumes partly offset growth. H1 revenue also benefited from five additional shipping days.
- Q2 gross margin declined 0.3 percentage points, while H1 margin improved 0.4 points. Inflation in raw materials and labor, recall and quality costs, and supply-related manufacturing inefficiencies pressured margins; pricing, lower logistics costs, and cost initiatives provided offsets.
- Q2 net income increased 5.5%; H1 net income increased 3.0%. H1 diluted EPS rose to $3.98 from $3.86. Higher interest expense weighed on results.
- H1 segment revenue grew across all reported segments: Americas 5.8%, EMEA 3.2%, Asia 13.5%, and OEM 26.2%. OEM had the strongest reported growth in both revenue and operating profit.
Outlook, commentary, risks, and unusual items
- The filing provides no specific numeric earnings or revenue guidance. Management said cash generation, available cash, and the revolving credit facility are expected to support operating needs, capital spending, and debt obligations over the next 12 months and foreseeable future.
- After quarter-end, Teleflex agreed to acquire Palette Life Sciences for $600 cash plus up to $50 in milestone payments, subject to closing conditions and expected to close in Q4 2023. The company said it expected to fund the deal with cash and revolver borrowings, and disclosed that it drew an additional $600 under the revolver in July.
- Teleflex plans to terminate its frozen U.S. retirement income plan, subject to approvals. The related pretax accumulated other comprehensive loss was approximately $200 at July 2. Management expected to recognize part of a settlement charge in Q4 2023 and the remainder upon annuitization, expected in 2024; the ultimate charge is not quantified in the filing.
- The Italian medical-device payback matter carries a $12.6 reserve. If the measure is enforced in its current form, estimated payments could exceed the reserve by up to $18.6; appeals are pending. A Mexican tax/customs audit has no recorded contingency because management said a loss was not probable or estimable, but an unfavorable outcome could be material.
- Environmental liabilities accrued were $6.1, with management noting that actual costs could exceed reserves. Litigation accruals were $0.6; the company did not expect current claims to be material but cautioned that unfavorable developments could have a material adverse effect.
- Other notable items include $3.7 of H1 restructuring charges and a $6.8 reduction in contingent consideration liabilities, which benefited cash flow reconciliation and affected the effective tax rate. The company said the 2022 restructuring plan was substantially complete and expected any further related charges to be immaterial.
- Key stated operating risks include inflation and supply-chain disruption, product demand and acceptance, customer or supplier changes, foreign exchange and interest-rate movements, acquisition integration, and execution of restructuring initiatives. The filing reported no significant changes to previously disclosed risk factors.
