Triton International Ltd quarterly report, Q3 FY2021

Triton International Limited — Q3 2021 Form 10-Q

Reporting period: Three and nine months ended September 30, 2021. Unaudited consolidated financial statements; dollar amounts below are in U.S. dollars unless noted.

Business context and performance

Triton leases intermodal containers and chassis and also trades containers. At quarter-end, its fleet totaled 4.17 million units, or 7.13 million TEU. Management attributed strong results to robust global trade, port and transport disruption, limited container availability, and high leasing and used-container prices.

Changes versus the comparable period

  • Q3 leasing revenue increased $72.4 million year over year, driven mainly by more containers on hire and higher dry-container rates. Nine-month leasing revenue increased $146.1 million.
  • Average fleet utilization reached 99.6% in Q3, compared with 96.1% in Q3 2020. The fleet expanded as Triton invested heavily in new equipment.
  • Q3 gain on equipment sales rose $14.9 million, although used dry-container sales volume fell 78.7%; the average sale price increased 163.2% year over year. Nine-month gain on sales rose $59.6 million.

Outlook, risks and unusual items

  • No quantified earnings or revenue guidance was provided. Management said it had recently seen moderation in new leasing activity after the summer peak and expected container supply and demand might become more balanced as record new-container production eased shortages. The timing of a return to normal market conditions was uncertain.
  • Management expected dry-container average lease rates to continue rising if current container prices and market leasing rates persisted; it expected refrigerated-container rates to trend gradually lower.
  • As of September 30, management cited $474.6 million of scheduled principal payments and $870.4 million of committed but unpaid capital expenditures over the next 12 months, primarily equipment purchases. Separately, equipment purchase commitments payable in 2021 were $463.9 million. Management believed available cash, operating cash flow, asset-sale proceeds, and credit facilities would cover obligations over the next 12 months.
  • On October 14, 2021, Triton completed a transition toward primarily investment-grade unsecured borrowings, amended key facilities, and increased its revolving-facility limit to $2.0 billion, with maturity extended to 2026. On October 20, the board declared a $0.65 common-share dividend and increased the repurchase authorization to $200 million.
  • Key risks include dependence on a limited number of customers, customer defaults, container demand and lease rates, used-container prices, global trade and COVID-19 effects, logistics disruptions, funding costs and debt restrictions, interest-rate exposure, and operational, regulatory and geopolitical risks. The top three customers represented 45% of nine-month lease billings; one customer represented 89% of the finance-lease portfolio at quarter-end.
  • Legal proceedings were described as ordinary-course matters not expected to have a material effect based on information available. Management reported effective disclosure controls and no material change in internal control over financial reporting.

Important facts for investors to verify

  • How durable near-maximum utilization, elevated leasing rates, and high used-container prices are as supply constraints ease.
  • Whether earnings remain strong after excluding equipment-sale gains and the substantial debt termination costs.
  • Execution, funding, and returns on the large container investment program, including committed equipment purchases and resulting debt levels.
  • Customer concentration and credit exposure, particularly the dominant finance-lease customer and largest lease-billing customers.
  • Terms and implications of the post-quarter unsecured debt transition, expanded revolver, dividends, and increased share-repurchase authorization.
