Material changes and portfolio
- The loan portfolio declined to 51 loans with $3.374 billion unpaid principal balance (UPB), from 53 loans and $3.484 billion at year-end. All loans were floating-rate; weighted-average all-in yield was 9.2%, credit spread 3.7%, loan-to-value 67.4%, and extended term 2.5 years.
- Q1 activity included three originations totaling $116.3 million in commitments, $10.7 million of advances on existing loans, and $227.8 million of loan repayments. The Company also repaid $141.5 million of asset-specific financing and $201.5 million of secured financing.
- The allowance for credit losses on loans rose to $71.3 million from $67.1 million; including the unfunded-commitment reserve, total allowance was $74.1 million. The quarter’s $4.4 million credit loss expense reflected chiefly macroeconomic assumptions. No loans were on non-accrual or individually assessed, and all reported loan balances were current.
- Risk ratings were mostly unchanged: $3.090 billion was rated 3, $215.5 million rated 4, and $62.0 million rated 2; none was rated 5. Management downgraded one hotel loan from 2 to 3 and one multifamily loan from 3 to 4.
- The Company owned four office properties and one multifamily property following prior foreclosures or deed-in-lieu acquisitions. Q1 REO operations generated $7.2 million revenue and $8.3 million expenses, a $1.1 million loss.
- Available near-term liquidity was reported as $370.7 million, including $203.1 million cash, $51.0 million of CLO cash available for eligible collateral, and undrawn financing capacity. The Company had $163.8 million of unfunded loan commitments.
Outlook, risks and unusual items
Management provided no formal earnings or portfolio guidance. It said it had curtailed originations and maintained elevated liquidity amid high interest rates, inflation, banking-sector stress, market volatility, declining commercial property values and recession concerns. It expects higher rates may slow loan prepayments and encourage extensions, potentially lengthening asset duration and creating a mismatch with some financing terms. Rising rates may also pressure borrower cash flows and increase credit risk. The Company is exposed to collateral-value declines, lender credit marks and margin calls, refinancing and capital-market access, and CRE concentration risks; multifamily represented 50.5% and office 20.2% of loan UPB.
Financing covenants included a minimum interest coverage ratio of 1.40x after a temporary waiver expired; the Company reported compliance with applicable covenants at quarter-end. Total principal debt maturities were $491.9 million in 2024 and $812.9 million in 2025. A secured credit agreement with Morgan Stanley had a May 4, 2024 maturity date in the filing. Management’s stated options for meeting obligations include extensions, refinancing, asset sales and loan repayments, but future availability is not assured.
After quarter-end, the Company received repayment of an office loan with $35.1 million UPB and $44.5 million total commitment. On April 25, 2024, the board authorized repurchases of up to $25.0 million of common stock. The Company also completed on April 12 a previously committed asset contribution to TRTX 2022-FL5 after the CLO reinvestment period ended. There were no material legal proceedings, and the filing reported no material changes to previously disclosed risk factors. Management concluded disclosure controls were effective.
Important facts for investors to verify
- Whether the improving GAAP earnings and non-GAAP Distributable Earnings are sustained; Distributable Earnings excludes specified items, including credit loss expense, and is not cash flow or a measure of liquidity.
- Performance and collateral values of the four risk-rating-4 loans, especially given office-market weakness and the two Q1 downgrades; the filing reports no specific reserve against individual loans.
- Near-term refinancing and covenant capacity, including the status of the Morgan Stanley facility after its May 4, 2024 maturity and the 2024–2025 debt maturities.
- Whether reported liquidity remains available after eligible-collateral requirements, unfunded commitments, dividends, debt service and the newly authorized share repurchase program.
- REO leasing, operating costs and valuation assumptions, and the effect of these properties on earnings and liquidity.
