Operating cash flow$(1,776)$(2,452) in Q1 2022

Gross margin and operating margin are not meaningful because the company reported no revenue. Cash declined by $1,465 during the quarter. Financing provided net cash of $311, including $453 of net ATM proceeds and $142 of taxes paid on vested share awards. No investing cash flows were reported in Q1 2023.

Changes versus Q1 2022

  • Net loss increased to $1,971 from $320. Q1 2022 included a one-time $2,883 gain related to cancellation of the Awak Mas royalty; that royalty interest has been fully cancelled.
  • Exploration, property evaluation and holding costs declined to $804 from $1,789, principally because Q1 2023 had no comparable Mt Todd feasibility-study or 2022 drilling-program spending.
  • Corporate administration costs declined to $1,168 from $1,401, including lower stock-based compensation.
  • Operating cash outflow narrowed to $1,776 from $2,452, largely due to lower drilling and feasibility-study spending, partly offset by payments that reduced payables.
  • Interest income rose to $69 from $1, reflecting higher market interest rates. Shares issued under the ATM program contributed $453 net proceeds; 7.4 million warrants remained outstanding at a weighted-average exercise price of $1.25.

Outlook, project plans and risks

  • Management expects cash and working capital, together with potential financing including the ATM program, to fund planned corporate expenses, Mt Todd holding costs and anticipated discretionary programs for at least one year from the filing date. The company has no recurring operating cash inflows and expects to rely on financing.
  • Management plans to reduce 2023 fixed costs by approximately 7% versus 2022, to annual net recurring costs of approximately $5.5 million; discretionary programs are expected to be reduced to approximately $450,000. Mt Todd site maintenance and environmental stewardship spending is estimated at approximately $2.1 million for 2023.
  • The strategic process with CIBC Capital Markets to find a partner or other transaction for Mt Todd remains ongoing. Management reported continued interest but noted that prospective parties remain cautious about large-scale projects and that an acceptable transaction may depend on sustained improvement and stability in economic and capital-market conditions. An internal 5.2-million-tonne-per-year scoping study assessed lower-capital, staged-development alternatives.
  • The 2022 feasibility study estimated 6.98 million ounces of proven and probable reserves, average annual production of 395,000 ounces over a 16-year mine life, initial capital of $892 million and average cash cost of $817 per ounce. Its estimated after-tax NPV at a 5% discount rate was $999.5 million at $1,600/oz gold and $1.7 billion at $1,900/oz. These are study estimates, not current production or management guidance; project development requires substantial capital.
  • Development risks include securing financing or a partner, gold-price and cost changes, permitting and operating requirements, and the project’s environmental and reclamation obligations. If Vista gives notice that it intends to develop Mt Todd, it would assume historical rehabilitation liabilities currently estimated by the Northern Territory Government at approximately A$73 million. The project also carries a combined gross-proceeds royalty of 1.125%–3.0%.
  • Vista states that it has been, and expects to remain, a passive foreign investment company (PFIC) for U.S. tax purposes. Management reported effective disclosure controls, no material change in internal control, no material litigation known to it, and no material changes to the risk factors in its 2022 annual report.

Important facts for investors to verify

  • Cash runway assumptions, future cash burn, ATM availability and the amount and dilution impact of any additional financing.
  • Progress, terms and timing of a Mt Todd strategic transaction, and the feasibility and economics of the smaller-scale development alternatives.
  • Capital requirements and key assumptions underlying the feasibility-study estimates, including gold price, costs and schedule.
  • Potential A$73 million historical rehabilitation liability upon a development decision, plus project royalties and other environmental obligations.
  • PFIC status and the applicable U.S. tax consequences; the filing advises U.S. shareholders to consult tax advisers.
