Business context and reporting period
Vista Gold Corp. filed this unaudited Form 10-Q for the quarter and nine months ended September 30, 2017. The exploration-stage company reported no revenue and no mining-operation cash flows. Its principal asset is the 100%-owned Mt Todd gold project in Australia; it also held a 4.2% interest in Midas Gold Corp. and other non-core assets. Dollar amounts below are U.S. dollars in millions unless otherwise noted.

For the nine months, net cash used in operations was $6.067 million, versus $4.124 million in 2016. Investing activities provided $5.675 million, principally from net dispositions of short-term investments; financing used $0.264 million, compared with $15.898 million provided in 2016, primarily from that year's equity offering. Cash and cash equivalents were $1.248 million at September 30. Short-term investments were $16.658 million, together totaling $17.906 million, down from $23.879 million at year-end 2016. Net working capital was $21.109 million, compared with $28.438 million at year-end.
Total assets were $34.198 million, total liabilities $1.461 million, and shareholders' equity $32.737 million at September 30. The company reported no debt. Profit margins are not meaningful because Vista had no revenue and incurred losses.
Material changes versus prior periods
- Q3 net loss increased to $2.655 million from $2.083 million; nine-month loss rose to $8.184 million from $1.160 million.
- Higher exploration and evaluation spending reflected expanded discretionary Mt Todd work. Management said fixed costs were substantially unchanged and expected elevated discretionary spending to continue through 2017.
- The nine-month comparison was also affected by an $0.858 million fair-value loss on Midas Gold shares in 2017, versus a $3.586 million gain in 2016, and by no comparable 2017 Australian R&D grant (2016 included $0.744 million).
- Cash and short-term investments declined mainly to fund operations; the Midas Gold investment fell in fair value from $4.994 million at year-end to $4.136 million.
Outlook, commentary and risks
Vista said existing working capital, together with possible non-dilutive financing, was expected to fund fixed costs and project activities for several years and critical Mt Todd milestones through a development decision. Potential financing sources included selling non-core assets or Midas Gold shares; future Australian R&D grants were not expected to be material. Management cautioned that long-term viability depends on securing funding and ultimately generating profits or asset-sale proceeds.
Mt Todd metallurgical testing was intended to assess ore sorting and finer grinding to improve recovery and reduce operating costs. The company expected to announce test results in Q4 2017, complete a first draft Mine Management Plan in Q4 2017, and finish an updated preliminary feasibility study in Q1 2018. These are expectations, not assured outcomes. The Mt Todd agreement with the Northern Territory was extended through December 31, 2023, with an option for a further three-year extension.
As a subsequent event, in October 2017 Vista granted Minera Alamos an option to earn 100% of the Guadalupe de los Reyes project for up to $6.0 million in staged payments, including $1.5 million paid at signing, subject to project obligations. Vista would also receive specified open-pit and underground royalties and may have a 49% back-in right for an underground project. Future payments and value depend on the counterparty meeting the agreement terms.
Key risks include permitting and feasibility uncertainty, gold-price and Australian-dollar fluctuations (Vista reported no currency hedging), funding needs, project execution, water supply, environmental and reclamation obligations, and the uncertainty of resource and recovery estimates. Vista expected to remain a passive foreign investment company for U.S. tax purposes. The filing reported no material pending litigation, no material changes to previously disclosed risk factors, effective disclosure controls, and no material change in internal control over financial reporting.
Important facts for investors to verify
- Whether Mt Todd test work supports the expected recovery, operating-cost and capital-cost outcomes, and whether the updated study and permitting milestones are completed on schedule.
- Cash burn and liquidity relative to management's expectation of funding the project for several years, including the terms and availability of any asset sales or other financing.
- Whether Minera Alamos makes the staged Guadalupe de los Reyes payments and satisfies its obligations; only the initial payment was reported as made after quarter-end.
- The valuation and liquidity of the Midas Gold investment and other non-core assets, and the implications of Vista's continuing losses and PFIC status.
