For the quarter, external sales declined in Pipe (14.2%), Infiltrator (9.4%) and Allied Products & Other (12.4%); International sales rose 3.4%. Management attributed weaker sales mainly to lower U.S. construction and agriculture demand. Lower volume and unfavorable fixed-cost absorption reduced gross profit, partly offset by favorable material costs. SG&A rose as a share of sales, reflecting engineering and innovation investment and inflation.

Cash flow, liquidity and debt

  • For the six months, operating cash flow was $458.9 million, versus $437.0 million; capital expenditures were $82.6 million, versus $75.5 million. Free cash flow, a non-GAAP measure, was $376.2 million, up 4.1%.
  • Cash was $470.4 million at September 30, 2023. Working capital was $804.0 million, up from $638.7 million at March 31, 2023.
  • Total debt obligations were $1.288 billion, before unamortized issuance costs; finance leases were also outstanding. Net debt, including finance leases, was $850.2 million, and the reported leverage ratio was 1.0x.
  • The $600 million revolver had no borrowings and $588.9 million available after letters of credit. ADS reported $1,059.3 million in total liquidity and stated that available resources should cover needs for at least the next 12 months. The company was in compliance with debt covenants.
  • Six-month financing cash outflows included $101.6 million of share repurchases and $22.2 million of dividends. The company repurchased 507,000 shares for $61.3 million in the quarter; approximately $315.9 million remained under its authorization at quarter-end.

Material changes, outlook and risks

  • Interest expense increased to $21.9 million for the quarter and $43.7 million for the six months, primarily due to higher interest rates and, year to date, increased average debt levels. A 1% increase in rates on variable-rate debt was estimated to increase annual interest expense by about $4.2 million based on quarter-end borrowings.
  • The six-month results include a $14.9 million gain from the April 2023 sale of substantially all Spartan Concrete assets; proceeds were approximately $20.0 million.
  • Management forecast fiscal 2024 capital expenditures of approximately $200–$225 million, including about $115 million of open orders at September 30. The filing provides no specific sales or earnings guidance.
  • Risks highlighted include construction and infrastructure cyclicality, seasonality and weather, raw-material cost and availability, competition, labor, international and joint-venture exposure, cybersecurity, litigation, and indebtedness. Management said ordinary-course legal proceedings were not expected to materially affect financial position or results. ADS guarantees 50% of certain South American joint-venture debt; outstanding facility debt including letters of credit was $1.4 million at quarter-end.

Important facts for investors to verify

  • Whether demand in U.S. construction and agriculture stabilizes, and how volume changes affect fixed-cost absorption and margins.
  • Whether the improved gross and Adjusted EBITDA margins persist despite lower sales, and how non-GAAP adjustments compare with GAAP performance.
  • Execution and funding of the $200–$225 million fiscal 2024 capital-expenditure plan, alongside continued buybacks and dividends.
  • Exposure to variable interest rates, debt covenant headroom, and the stated liquidity and leverage measures.
  • That the filing period is fiscal Q2 2024, ended September 30, 2023; the request metadata’s “2022 Q2” does not match the filing.
